Competition and Promoter 1.1 By entering the “Can’t Take Your Hands Off Kayo” Game of Skill Competition (Competition) and in consideration for the opportunity to participate in the Competition, each entrant agrees to be bound by and observe these Conditions of Entry. Information on how to enter and prize details form part of these Conditions of Entry. 1.2 The promoter of the Competition is Streamotion Pty Ltd (ABN 97 072 725 289) of 5 Thomas Holt Drive, North Ryde NSW 2113 (Promoter). 2. Who may enter 2.1 Subject to paragraph 2.2, entry into the Competition is open to all permanent residents of Australia aged over 18 years who hold a current full driver’s licence in their state/territory of residence at the date of entry into the Competition. 2.2 The officers, management and employees (and immediate family members of officers, management and employees) of the Promoter, GM Holden Ltd (Holden) and their related corporations and associated agencies are not eligible to enter the Competition. 3. Competition Period 3.1 The Competition commences at 6:00am Australian Eastern Daylight Time (AEDT) on 18 February 2019 and closes at 11:59pm AEDT on 24 February 2019 (Competition Period). 3.2 Entries not received during the Competition Period or not completed in accordance with these Conditions of Entry will not be eligible to win. 4. How to enter 4.1 Eligible entrants must, during the Competition Period: (a) visit the Competition website (winacar.kayosports.com.au) and enter the details requested; and; (b) tell us in 25 words or less your most creative and unique answer to the question, “Why do you deserve to win a brand-new Holden Acadia?” (Entry Question). (each, an Entry). 4.2 Without limiting paragraph 11 below, acceptance of these Conditions of Entry constitutes consent on the entrant’s (including a prize winner’s) part to allow the use of entrant’s name, image, voice and/or likeness by Promoter via all media in perpetuity for production, editorial, advertising, promotional, marketing and/or other purposes (including but not limited to, appearing in productions that will be broadcast on Promoter’s channels and via Promoter’s social media platforms) without further compensation except where prohibited by law. 5. Can’t Take Your Hands Off Kayo Final 5.1 Judging of all entries received during the Competition Period will be conducted by the Promoter at 4 Broadcast Way, Artarmon, NSW, 2064 on 25 February 2019. 5.2 The 25 entrants who submitted the most creative and unique Entries during the Competition Period (as judged by the Promoter in its sole discretion) in accordance with these Conditions of Entry will each win the opportunity to participate in the Can’t Take Your Hands Off Kayo Final (Final) to be held on 28 February 2019 at a location to be determined by the Promoter in their sole discretion within Adelaide, South Australia (Location). 5.3 The prize winners will be notified by telephone or in writing on 25 February 2019 and will be provided details about attendance requirements for the Location and for participation in the Final. Prize winners must confirm their attendance at the Final to the Promoter in writing by 3pm on 26 February 2019. If a prize winner/s cannot attend the Final (for any reason), the Promoter may award the opportunity to participate in the Final to the entrant/s with the next most creative and unique Entries. 5.4 Each prize winner must participate in the Final according to the Final Game Rules (Game Rules) to be notified to the prize winners at the Final. At the commencement of the Final, the Promoter will assign a decal on the vehicle for each prize winner based on the ranking of their Entry. The most creative and unique Entry will be assigned the first position and so on until all 25 positions have been assigned. Without limiting paragraph 6.8 below, by participating in the Final, each prize winner must become acquainted with the Game Rules and any other additional terms and conditions prior to participating in the Final and each prize winner is subject to additional terms and conditions imposed by the Promoter. Each prize winner must act in accordance with the Promoter’s directions, instructions and guidelines during the Final. Failure to act in accordance with the Promoter’s directions, instructions and guidelines in the Final may result in the prize winner’s disqualification from the Final. 5.7 Without limiting paragraph 6.7 below, each prize winner participating in the Final is responsible for all expenses in relation to participating in the Final, including but not limited to transport to and from the Location of the Final, accommodation, meals, drinks and all other ancillary costs. 6. Major Prize 6.1 The participant who wins the Final by holding their palm to a vehicle chosen by the Promoter for longer than all other participants in the Final (and in any event for a period of at least 24 hours) in accordance with the Game Rules and as judged by the Promoter in its sole discretion will win one Holden Acadia LTZ-V 2WD (Holden Acadia), plus on-road costs including registration, compulsory third party insurance, stamp duty and dealer delivery charges (Major Prize). 6.2 The maximum total value of the Major Prize is A$63,990 drive away (including GST) excluding metallic paint. 6.3 Without limiting paragraphs 6.5, 6.6, 6.7, 6.8 and 10.1 below, the following terms and conditions apply to the Holden Acadia: (a) the Major Prize winner is solely responsible for additional insurance, options, petrol and all other ancillary costs; (b) colour selection will be at Promoter’s absolute discretion; (c) the Holden Acadia will be delivered to the Holden dealership located closest to the Major Prize winner’s place of residence and the Major Prize winner is responsible for all expenses associated with collecting the Holden Acadia from that Holden dealership; (d) delivery of the Holden Acadia to the Holden dealership may take up to 12 weeks; (e) the Promoter accepts no responsibility for any variation in the value of the Holden Acadia due to depreciation; and (f) the Major Prize winner must comply with any additional terms and conditions imposed by Holden in respect of the Holden Acadia. Information for all prize winners 6.4 The maximum total prize value is A$63,990 (including GST). 6.5 The Promoter accepts no responsibility for any variation in the value of a prize. The prize is not transferable or exchangeable. The prize is not redeemable for cash and must be taken as offered. If for any reason a prize winner does not take an element of the prize during the stated period and on the conditions stipulated by the Promoter or any third party that element of the prize will be forfeited and cash will not be awarded in lieu of that element of the prize. 6.6 In the event that any element of the prize is not available, the Promoter reserves the right to substitute a prize of equal or greater value. 6.7 Each prize winner is responsible for all expenses not specified in these Conditions of Entry, including but not limited to, transport to or from the location of an element of a prize, spending money, any meals not stated above, drinks, insurance (including medical, travel and health), and other miscellaneous expenses. 6.8 Each prize winner acknowledges that the prize is subject to additional terms and conditions imposed by third party prize suppliers, including any venue operators. The prize winner must become acquainted with any such additional terms and conditions prior to taking the prize. The prize winner and their companion must comply with all conditions, supplemented by the conditions of entry imposed by any venue operators. The Promoter does not accept responsibility and is not liable for any conditions imposed on the taking of the prize by any other third party prize supplier, and any venue operator or the breach of those conditions by any person. 7. Unclaimed prizes If the Major Prize is unclaimed by 12:00pm AEDT on 15 March 2019, it will be awarded to the runner-up in the Final. The unclaimed prize winner of the Major Prize will be notified by telephone and in writing on 15 March 2019. 8. Information for Prize Winner All entrants agree to provide the Promoter with identification and/or proof of age if selected as a prize winner. In accepting a prize, each prize winner agrees to the release set out below. The form of identification and/or proof of age are at the discretion of the Promoter. 9. Limitation of Liability 9.1 Except for any liability that cannot by law be excluded (including as set out under paragraph 9.3), the Promoter, its related corporations and associated agencies (and any of their personnel) exclude all liability for any loss (including any damage, claim, injury, cost or expense) which is suffered or incurred by any entrant (including a prize winner and their companion) in connection with the Competition or a prize, including, without limitation: (i) any indirect, economic or consequential loss; (ii) any loss arising from the negligence of the Promoter, its related corporations and associated agencies (and any of their personnel); and (iii) any liability for personal injury or death. 9.2 No responsibility will be taken by the Promoter or its authorised agents for lost, ineligible, misdirected or late entries due to technical reasons or any other reason. Entries that are not genuine or are incomplete, late or in any way fraudulent will be declared void. 9.3 Nothing in these Conditions of Entry limits, excludes or modifies, or purports to limit, exclude or modify, the statutory implied guarantees/warranties as provided under the Competition and Consumer Act 2010 (Cth) and the ASIC Act 2001 (Cth), including the statutory consumer guarantees under the Australian Consumer Law, or similar laws in the States and Territories of Australia. 10. Privacy By entering the Competition, the entrant understands and agrees that the Promoter may use and disclose the entrant’s personal information to assist in conducting the Competition and communicating with the entrant in regard to special offers from the Promoter and its related entities. Entrants in the Competition acknowledge that the Promoter may share an entrant’s personal information with the Promoter’s Australian and foreign related entities which may contact the entrant with marketing messages and special offers. Without limiting the foregoing, the Promoter may disclose the prize winner’s personal information to third parties for the purpose of fulfilling the prize. If an entrant elects to receive information from other third parties, the Promoter may also disclose the entrant’s personal information for that purpose. All entries and all copyright and other rights in such entries and/or other materials become the property of the Promoter and will not be returned. Each entrant agrees to provide a written assignment of all rights to the Promoter if requested. By submitting an entry and any other materials (save for any personal information) to the Promoter in connection with the Competition, each entrant: (a) specifically authorises the Promoter to use and/or license third parties to use such entry in whole or in part, throughout the universe, in perpetuity in or on any and all media, whether currently in existence or developed in the future, and alone or together or as part of other information, content and/or material of any kind or nature; (b) represents and warrants that all elements contained in the entry or other material: (i) are original to the entrant and fully cleared for use as contemplated in these Conditions of Entry; (ii) do not and will not, in any way, violate or breach any of the terms of any other agreement the entrant may be a party to; (iii) do not contain defamatory, tortious or otherwise unlawful, untrue or inaccurate information, infringe or violate any copyright or other right; or contain any matter the publication or sale of which will violate any law; (iv) are not obscene or likely to cause offence; (v) are not in any way cruel or abusive; and (vi) will not require the Promoter to pay or incur any sums to any person or entity as a result of Promoters’ use or exploitation of the same; and (c) unconditionally and irrevocably consents to any act or omission which would otherwise infringe any of their moral rights in the entry and waives all moral rights in the entry that arise outside Australia. 11.2 This Competition is a game of skill. Chance does not play a part in determining the prize winners. 11.3 Acceptance of the prize constitutes consent on the prize winner’s part to allow the use of the prize winner’s name, image, voice and/or likeness (including but not limited to, any recordings of the prize winner taking the prize) by the Promoter for editorial, advertising, promotional, marketing and/or other purposes without further compensation except where prohibited by law. 11.4 The prize remains the property of the Promoter until it is delivered to the selected prize winner or unclaimed prize winner as the case may be. 11.5 No correspondence will be entered into and the judges’ decision is final and binding. 11.6 If for any reason the Competition is not capable of running as planned, including due to infection by computer virus, bugs, tampering, technical failures or any other causes beyond the control of the Promoter, which corrupt or affect the fairness or integrity or proper conduct of the Competition, the Promoter reserves the right in its sole discretion to disqualify any individual who tampers with the entry process and to cancel, modify, terminate or suspend the Competition. 11.7 The prize winner is advised that tax implications may arise from the prize and should seek independent financial and taxation advice prior to their acceptance of the prize. The prize winner is responsible for all taxes (excluding GST) which may be payable as consequence of receiving a prize. 11.8 As part of participating in the prize, the prize winner may become privy to the Promoter's confidential information. Confidential information refers to any information, in whatever form, which is not publicly available. The prize winner must preserve as confidential, and not reveal to anyone or use for themselves or anyone else, any of the Promoter's confidential information that they may become aware of, unless the Promoter provides its prior written consent to such use or disclosure. 11.9 A participant in the Final acknowledges that: (a) participation in the Final is on a voluntary basis only and for their own benefit; (b) the Final in no way creates a principal/contractor or an employer/employee relationship; (c) for the duration of the Final they are not a "worker" within the meaning of the Work Health and Safety Act 2011, the Workplace Injury Management and Workers Compensation Act 1987 (NSW) or other relevant state or territory workers compensation legislation, and are not entitled to claim under the Promoter's workers' compensation insurance; and (d) they are not entitled to any employment related conditions including but not limited to a wage, superannuation, paid leave or the terms of any award or other industrial instrument. 12.
