TERMS AND CONDITIONS:

1.The Subway Franchisee Advertising Fund of Australia Pty Ltd (ABN 21 071 190 317) of Level 1, 42 Amelia Street, Fortitude Valley, Queensland 4006 (“SFAFA”) and Coca-Cola Amatil (Aust) Pty Limited (ABN 68 076 594 119) of 40 Mount Street, North Sydney, NSW 2060 Australia (“CCA”) are the Promoters (“PROMOTERS”) of the SUBWAY® Summer of Surf Giveaway Promotion (“PROMOTION”). Whereas SFAFA and CCA are Promoters of the Promotion, the Administrators (“ADMINISTRATORS”), Ripe Solutions Pty Ltd (ABN 26 150 189 272) and The Idea Shed Pty Ltd (ABN 32 162 123 391), are running and administering the Promotion. GSM (Operations) Pty Ltd (“GSM”) is one of the Prize Providers (“PRIZE PROVIDER”) of the Promotion. GSM operates as a subsidiary of Billabong International Limited, located at: www.billabong.com.

2.Information on how to enter and prizes form part of these Terms and Conditions. Submission of an entry is deemed acceptance of these Terms and Conditions.

3.Entry is only open to Australian residents who, if drawn as a winner, can take the relevant prize(s) on the terms outlined in this document (“ELIGIBLE ENTRANT”). Eligible Entrants under 18 years old must have parental/guardian approval to enter and further, the parent/guardian of the Eligible Entrant must read and consent to these Terms and Conditions. Parents/guardians may be required by the Promoters to enter into a further agreement as evidence of consent to the minor entering this Promotion. Failure of an Eligible Entrant’s parent/guardian to verify consent and/or sign a release/agreement under this clause will invalidate all of that Eligible Entrant’s entries.

4.Employees (and their immediate families) of the Promoters, Doctor’s Associates Inc. (“DAI”), Franchise World Headquarters, (“FWH”), Subway Realty Pty Ltd, Subway Systems Australia Pty Ltd and agencies associated with this Promotion (including the Administrators) are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.

5.The Promotion will be open from 09:00am AEDST on 29/12/2014 and will close at 11:59pm AEDST on 01/02/2015 (“PROMOTION PERIOD”).

HOW TO ENTER

6.To be eligible to enter the Promotion, Eligible Entrants must purchase at least one (1) SUBWAY® sub, flatbread, wrap or salad, and at least one (1) Coca-Cola branded beverage, together in a single transaction, from any SUBWAY® restaurant nationally during the Promotion Period and retain their purchase receipt (“QUALIFYING PURCHASE”). For the avoidance of any doubt, the following Coca-Cola branded beverages are qualifying beverages; any ‘Coca-Cola’; any ‘Diet Coca-Cola’; any ‘Coca-Cola Zero’; any ‘Sprite’; any ‘Fanta’; any ‘Lift’; any ‘Deep Spring’ Mineral Water variety; any ‘Mother’ variety; any ‘Mount Franklin’ variety; any ‘Mount Franklin’ Lightly Sparkling variety; any ‘Pump’ variety; any ‘Pumped’ variety; any ‘Glaceau’ Vitamin Water variety; any ‘Powerade’ variety; any ‘Goulburn Valley’ Juice variety; any Grinders Coffee variety; any Fruit Box variety; and any ‘Barista Bros’ variety, in any size or serving option.

7.To enter the Promotion, Eligible Entrants must then, during the Promotion Period, visit www.subway.com.au/summer and:

Existing Subway Eat Fresh® Club members must login, using their log in details, and then;

(i)Indicate what SUBWAY® restaurant the Qualifying Purchase was made at;
(ii)Indicate the date and time of Qualifying Purchase as per their purchase receipt;
(iii)If they wish, upload a scanned, photocopied or photographed copy of their purchase receipt (Uploaded files must be submitted in JPEG, GIF, PNG or PDF format, and must not exceed 5MB). For the removal of doubt, all Eligible Entrants must retain their original purchase receipts (regardless of whether they upload a copy or not), in accordance with clause 9;
(iv)Select the type of Daily Draw (defined below) that they would like to be entered into (from the three (3) Daily Draw options listed, being either the Daily Draw for the DHD Black Diamond Surfboard signed by Laura Enever prize, or the JS Industries Black Box2 Surfboard signed by Joel Parkinson prize or the GoPro HERO4 SILVER / Surf camera prize); and
(v)Accept these Terms and Conditions.

Non Subway Eat Fresh® Club members must complete the online entry form and include;

(i)all personal details required, including their name, contact
telephone number and email address;
(ii)Indicate what SUBWAY® restaurant the Qualifying Purchase was made at;
(iii)Indicate the date and time of purchase as per their purchase receipt;
(iv)If they wish, upload a scanned, photocopied or photographed copy of their purchase receipt and upload it to the entry form (Uploaded files must be submitted in JPEG, GIF, PNG or PDF format, and must not exceed 5MB). For the removal of doubt, all Eligible Entrants must retain their original purchase receipts (regardless of whether they upload a copy or not), in accordance with clause 9;
(v)Select the type of Daily Draw (defined below) that they would like to be entered into (from the three (3) Daily Draw options listed, being either the Daily Draw for the DHD Black Diamond Surfboard signed by Laura Enever prize, or the JS Industries Black Box2 Surfboard signed by Joel Parkinson prize or the GoPro HERO4 SILVER / Surf camera prize); and
(vi)Accept these Terms and Conditions.

While Non Subway Eat Fresh® Club members will have the option to join the Subway Eat Fresh® Club as part of the entry form, this is not a condition of entry and will not affect the probability of winning. However, if an Eligible Entrant is drawn as the Major Prize winner, he/she will only be eligible to win the Bonus Prize (defined below in clause 23) if they are a member of Subway Eat Fresh® Club.

8.Eligible Entrants can only enter in their own name.

9.Eligible Entrants must retain their original SUBWAY® restaurant purchase receipts for all Qualifying Purchases as proof of purchase. Failure to produce the proof of purchase for the Qualifying Purchases of all entries when requested may, in the absolute discretion of the Promoters, result in invalidation of ALL of an Eligible Entrant’s entries and forfeiture of any right to a prize. Purchase receipt(s) must clearly specify the SUBWAY® restaurant of purchase, the date of purchase and that the purchase was made during the Promotion Period but prior to entry. Unrecognised, damaged or otherwise unreadable purchase receipts will be deemed invalid.

10.Multiple entries permitted, subject to the following:

(a) only one (1) entry is permitted per Qualifying Purchase/purchase receipt, regardless of whether more than one (1) SUBWAY® sub, flatbread, wrap or salad and more than one (1) Coca-Cola branded beverage was purchased in that Qualifying Purchase; and
(b) each entry must be submitted separately and in accordance with entry requirements.

11.The Promoters reserve the right, at any time, to verify the validity of entries and Eligible Entrants (including an Eligible Entrant’s identity, age and place of residence) and reserve the right, in their sole discretion, to disqualify any individual who the Promoters have reason to believe has breached any of these Terms and Conditions, tampered with the entry process or engaged in any unlawful or other improper misconduct calculated to jeopardise fair and proper conduct of the Promotion. Errors and omissions may be accepted at the Promoters’ discretion. Failure by the Promoters to enforce any of their rights at any stage does not constitute a waiver of those rights. The Promoters’ legal rights to recover damages or other compensation from such an offender are reserved.

12.Incomplete or indecipherable entries will be deemed invalid. The use of any automated entry software or any other mechanical or electronic means that allows an Eligible Entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that Eligible Entrant invalid.

13.Any incorrect details submitted may render the corresponding entry invalid.

14.If there is a dispute as to the identity of an Eligible Entrant, the Promoters reserve the right, in their sole discretion, to determine the identity of the Eligible Entrant.

DAILY DRAWS

15.There will be a total of three (3) draws conducted for each day of the Promotion Period (105 draws in total) (“DAILY DRAWS”). For the purposes of the Daily Draws, entries will be divided into three (3) groups, according to the type of Daily Draw prize the Eligible Entrant selected as the Daily Draw prize they wished to be eligible for at the time of submitting their entry.

For the avoidance of doubt, there will be one (1) Group A, Group B and Group C Daily Draw conducted each day. The Eligible Entrant must select which type of Daily Draw they wish to enter at the time of submitting their entry.

16.All random electronic Daily Draws will be conducted at Prime Focus, 403/62 Beach Street, Port Melbourne, VIC 3207 (“DRAW LOCATION”). Entries into each Daily Draw will open at 12:00am AEDST and close at 11:59pm AEDST each day of the Promotion Period, with the exception of the first day of the Promotion Period where entries will open at 9:00am AEDST. All Daily Draws for each week of the Promotion Period (Monday to Sunday) will take place at 12:00 noon AEDST the following Tuesday at the Draw Location. For clarity, each set of Daily Draws will take place on the dates specified in the table below. Please note, entries in each Daily Draw will NOT be entered into any subsequent Daily Draw(s).

17.The pool of entries from which each Daily Draw winner will be drawn are entries which:

(a)have been received during the calendar day of the respective Daily Draw based on AEDST time (subject to the starting and closing time of the Promotional Period); and
(b)the Daily Draw group type has been specified by the Eligible Entrant in the entry.

18.The first valid entry drawn in each Daily Draw will win the respective group prize as set out in clause 15.

19.Winners will be notified in writing by the Administrator, The Idea Shed Pty Ltd, within two (2) business days of the relevant Daily Draw date. The names of winners drawn in Daily Draws 1 to 21 will be published online at: www.subway.com.au/summer from 30/01/2015, and the names of winners drawn in Daily Draws 22 to 35 will be published online at: www.subway.com.au/summer from 20/02/2015.

MAJOR DRAW

20.In addition to the Daily Draws, there will be one (1) major draw conducted for this promotion, from all valid entries received during the Promotion Period (“MAJOR DRAW”). For the avoidance of doubt, entries which win the Daily Draw are also entered into the Major Draw.

21.The Major Draw will take place at the Draw Location at 12:00noon AEDST on 03/02/2015. The winner of the Major Draw will be notified in writing by the Administrator, The Idea Shed Pty Ltd, within two (2) business days of the Major Draw and their name will be published online at: www.subway.com.au/summer from 11/02/2015.

22.The first valid entry drawn, from all valid entries received, will win the major prize. The major prize is a trip for two (2) people to Oahu, Hawaii, USA for a major international surfing event (to be held in December 2015 – exact dates will be advised to the winner at the time of winner notification) valued at up to AU$12,000 depending on date and point of departure (“MAJOR PRIZE”): The Major Prize includes:

a.Return economy class airfares for the winner and one (1) guest from winner’s nearest Australian capital city to the Honolulu International Airport, USA;
b.All airline and airport taxes;
c.Return private transfers from airport to accommodation in Oahu, Hawaii for the winner and one (1) guest;
d.Five (5) nights 4 star accommodation at Turtle Bay Resort, Oahu (or equivalent accommodation, subject to availability) in an twin share room;
e.One (1) day entry to the Billabong House located at 59-389 Ke Nui Road, Haleiwa, Hawaii (entry to the Billabong House will be at the Major Prize winner’s and his/her companion’s own risk, with the exact date to be determined by Billabong in its absolute discretion) for the Major Prize winner and his/her companion which includes:
i.lunch and drinks (for the avoidance of doubt, accommodation at the Billabong House is not a component of the Major Prize, and Major Prize winner and his/her companion must comply with any and all directions given to them by GSM (Operations) Pty Ltd or any of its authorised representatives, whilst the Major Prize winner and this/her companion are in the Billabong House); and
ii.A Meet and Greet for the Major Prize winner and his/her companion with Joel Parkinson and Laura Enever, or an alternative Billabong sponsored surfer personality (with the exact personality to be determined by the Promoter in its absolute discretion).

f.Return private transfers from accommodation to the Billabong House at the major international surfing event for the Major Prize winner and his/her companion, for one (1) day; and
g.A Billabong prize pack for the Major Prize winner only, including Billabong items selected by the Promoters in their sole discretion, to the value of AU$1,000.

23.If the Major Prize winner is a registered member of the Subway Eat Fresh® Club at the time of entry they will also win AU$2,000 spending money (“BONUS PRIZE”). If the Major Prize winner is not a registered member of the Subway Eat Fresh® Club at the time of entry they will not be eligible to win the Bonus Prize.

24.The Major Prize is scheduled to take place in December 2015 to coincide with the major international surfing event. It is a condition of accepting the Major Prize that the Major Prize winner be able to travel to Honolulu, United States of America some time during 01/12/2015 and 20/12/2015. Persons not available to take the Major Prize during this period of time are not eligible to win (see clause 3 of these Terms and Conditions). If the Major Prize winner is or becomes unavailable to travel during this period, they will forfeit the Major Prize and cash will not be awarded in lieu. The exact dates for the Major Prize are still to be confirmed and will be advised to the Major Prize winner at the time of Major Prize winner notification.

25.Spending money, meals (other than those stated), taxes (excluding airline and airport taxes), insurance, passports, visas, transport to and from departure point, transfers (other than those stated), items of a personal nature, in-room charges and all other ancillary costs associated with taking the Major Prize are not included.

26.The Promoters accept no responsibility for any loss incurred in the event that the major international surfing event is cancelled for any reason beyond the control of the Promoters.

27.The Promoters accept no responsibility for any loss incurred in the event that the appearance of any/all Billabong sponsored surfer personalities are not available for any reason beyond the control of the Promoters.

28.During the entire duration of the Major Prize, should any traveller be under the age of majority, a parent/guardian must accompany the minor at all times. As a condition of accepting the Major Prize, the Major Prize winner and his/her companion, or if the Major Prize winner or companion is under the age of majority, the parent/guardian of the minor, must sign any legal documentation as and in the form required by the Promoters and/or prize suppliers in their absolute discretion, including but not limited to a legal release and indemnity form. If the winner of the Major Prize is a minor, the Major Prize winner’s parent or guardian must be their nominated companion. The Major Prize winner can only take a companion who is a minor if the Major Prize winner is 18 years or age or over and is the companion’s parent or guardian.

29.The winner of the Major Prize and his/her companion are responsible for ensuring that they have valid passports, and any requisite visas, vaccinations and travel documentation.

30.The winner of the Major Prize and his/her companion must depart from and return to the same departure point and travel together.

31.Itinerary to be determined by the Promoters in agreement with the winner of the Major Prize but in the event that agreement cannot be reached, the Promoters reserve the right to determine the itinerary.

32.Frequent flyer points will not form part of the Major Prize.

33.The winner of the Major Prize may be required to present a credit card at time of accommodation check in.

34.Penalties may apply to re-booking, amending, extending or cancelling travel and/or accommodation, and are the responsibility of the Major Prize winner and/or their nominated travel companion as the case may be.

GENERAL

35.The Promoters' decisions in relation to all aspects of the Promotion are final and binding on each Eligible Entrant and no correspondence will be entered into.

36.If a winner of a prize is under the age of 18 years, the prize will be awarded to the winner's nominated parent or guardian on the winner’s behalf.

37.Additional Entries may be drawn (“RESERVE ENTRIES”) in each draw and recorded in the order drawn in case an original drawn winner is ineligible.

38.Subject to the terms and conditions of the participating prize supplier(s) and the unclaimed prize draw clause, in the event that for any reason whatsoever a winner does not take a prize or an element of a prize at the time stipulated by the Promoters, then the prize or that element of the prize will be forfeited by the winner and cash will not be awarded in lieu of the prize or that element of the prize.

39.In the event of war, terrorism, state of emergency disaster, or adverse weather conditions resulting in the cancellation or postponement of any world recognised surfing events at Pipeline Hawaii, the Promoters reserve the right to cancel, terminate, modify or suspend the Promotion or suspend or modify a prize, subject to any written directions from a relevant regulatory authority.

40.If a prize (or part of a prize) is unavailable, the Promoters, in their discretion, reserve the right to substitute the prize (or that part of the prize) with a prize to the equal value and/or specification, subject to any written directions from a regulatory authority.

41.Total prize pool value is up to AU$94,088.75.

42.The prizes, or any unused portion of a prize, are not transferable or exchangeable, cannot be sold and cannot be taken as cash, unless specified otherwise by the Promoter.

43.A draw for any unclaimed prizes may take place at the Draw Location at 12:00 noon AEST on 04/05/2015, subject to any directions from a regulatory authority. Any prizes awarded in the unclaimed prize draw will be awarded in descending order of value. Winners will be notified in writing by the Administrator, The Idea Shed Pty Ltd, within two (2) business days of the draw and their names will be published online at www.subway.com.au/summer from 11/05/2015.

44.Eligible Entrants consent to the Promoters using their name, likeness, image and/or voice in the event they are a winner (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting this Promotion (including any outcome), and promoting any products manufactured, distributed and/or supplied by the Promoters.

45.If this Promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoters, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoters reserve the right, in their sole discretion, to the fullest extent permitted by law: (a) to disqualify any Eligible Entrant; or (b) subject to any written directions from a regulatory authority, to modify, suspend, terminate or cancel the Promotion, as appropriate.

46.Any cost associated with accessing the promotional website is the Eligible Entrant’s responsibility and is dependent on the Internet service provider used.

47.The Promoters accept no responsibility for any entries not received for any reason during the Promotion Period. Entries will be deemed to be accepted at the time of receipt and not the time of transmission.

48.Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify any statutory consumer guarantees or any implied condition or warranty the exclusion of which from these Terms and Conditions would contravene any statute or cause any part of these Terms and Conditions to be void (“Non-Excludable Guarantees”). Subject to the limitations in the preceding sentence, the Promoters exclude from these terms and conditions all conditions, warranties and terms implied by statute, general law or custom. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoters (including their respective officers, employees and agents), DAI, FWH, Subway Realty Pty Ltd, Subway Systems Australia Pty Ltd, exclude all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the Promotion.

49.Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoters (including their respective officers, employees and agents), DAI, FWH, Subway Realty Pty. Ltd., Subway Systems Australia Pty. Ltd., are not responsible for and exclude all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the Promoters’ control); (b) any theft, unauthorized access or third party interference; (c) any entry, receipt or Prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoters) due to any reason beyond the reasonable control of the Promoters; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by a winner or Eligible Entrant; or (f) use of a prize, or the taking of a prize.

50.PRIVACY / USE OF PERSONAL INFORMATION:  The Administrators and/or Promoters may gather Personal Information provided by Eligible Entrants online for the purposes of conducting and managing this promotion and may, for this purpose, disclose such Personal Information to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required, to Australian regulatory authorities. Personal Information may include, but is not limited to: name (full name or first initial and last name), maiden name, nickname, email address, home address, home postal code, home telephone number, mobile telephone number, date of birth, photographic images (especially of face or other identifying characteristics, or other identifying characteristics such as eye, skin, and hair colour, facial features, personal marks such as, tattoos, birthmarks, moles, and scars, as well as, video and voice recordings). Personal Information is only collected when volunteered by an Eligible Entrant, at the time Eligible Entrant enters the “SUBWAY® SUMMER OF SURF GIVEAWAY” PROMOTION.
