This agreement is between Sound Alliance Pty Ltd ("Sound Alliance") and you, and covers any news, visual images (including photos), reviews, graphics, links, video footage, information, content and other materials that you submit to inthemix.com.au (the "Content").

   1. You grant Sound Alliance a world-wide, royalty free and non-exclusive license to reproduce, publish and communicate such Content to the public (in whole or in part). You agree that Sound Alliance (and its assignees and licensees) may use in any way and in any context, exercise any and all intellectual property rights in, as well as modify, alter, adapt, distort or otherwise change, any of the Content in its absolute discretion. Without limiting the foregoing, you authorize Sound Alliance to deal with the Content in any manner it sees fit, including selling or giving the Content to any third party for any use in its original or adapted form.
   2. You retain ownership of all intellectual property rights in the Content and may at your discretion use the Content in any way, including but not limited to licensing to additional third parties.
   3. Sound Alliance will use its best endeavours to ensure that the Content will be correctly credited to you on inthemix.com.au. Credit would normally take the form of your user name linking to your online profile on inthemix.com.au, which in turn will contain any contact information you have agreed to make available to the public
   4. You acknowledge and warrant that a) you have the authority to grant the rights set out in Clause 1 above to Sound Alliance; b) the use of the Content by Sound Alliance as contemplated under this agreement will not infringe the intellectual property rights of any person or the laws of any country; and c) the Content contains no material which is defamatory or otherwise unlawful.
   5. You indemnify Sound Alliance against any and all actions, suits, claims or demands, costs or expenses (including any and all legal fees on an indemnity basis) relating to any breach of your warranties.
   6. To the extent permitted by law, all express or implied terms, conditions, warranties, statements, assurances and representations in relation to any product or service provided by Sound Alliance, Sound Alliance's business and inthemix.com.au are expressly excluded. If any of the exclusions or limitations set out in this clause are declared illegal or void or if you claim that there has been a breach of a term, condition, warranty, statement or assurance which cannot be excluded by this agreement, to the extent permitted by law, Sound Alliance's total liability and your exclusive remedy is limited, at Sound Alliance's discretion, to a) the re-supply of services; or b) the payment of the cost of having the services re-supplied.
   7. In no event will Sound Alliance (including its agents, employees or contractors) be liable for any a) direct losses; or b) indirect or consequential loss (even if Sound Alliance is aware of the possibility of such loss or if such loss was otherwise foreseeable), including, but not limited to, loss of profits, production, data, opportunity or goodwill; or business interruption, however caused and on any theory of liability, including without limitation, contract or tort (including negligence or otherwise) arising during and/or as a result of the performance or non-performance of this agreement by Sound Alliance.
   8. You acknowledge that you must not appoint employees, agents or sub-contractors to perform the whole or any part of your services under this agreement without Sound Alliance's prior written consent.
   9. No agency, partnership, joint venture, employment or franchise relationship is intended or created by this agreement. Because you are not an employee, you a) understand that minimum wage laws do not apply to your relationship with Sound Alliance; b) do not have the right to speak on behalf of Sound Alliance or inthemix.com.au, describe yourself as an employee of Sound Alliance or inthemix.com.au, or use inthemix or Sound Alliance letterhead or logo, unless otherwise authorised in writing to do so. Unless otherwise agreed, you acknowledge and agree that you will use your own equipment in performing your services under this agreement and undertake to be responsible for the risks associated with such use. You're appointment as a service provider under this agreement is non-exclusive.
