Sydney Festival and YouTube ‘Faces of Festival TV' Contest Terms and Conditions of Entry 1. Information on how to enter and prizes forms part of these conditions of entry. Submission of an entry is deemed acceptance of these conditions of entry. 2. Entry is only open to Australian residents 18 years or older who are Registered Users of www.youtube.com ("Eligible Entrants"). To become a Registered User of the YouTube Site, you must register for an account and agree to the YouTube Site's "Terms of Use" set forth at www.youtube.com/t/terms ("Terms of Use"). There is no fee or charge to become a Registered User. 3. Employees (and their immediate families) of Sydney Festival, Google& YouTube are ineligible to enter. 4. Contest commences 21/12/2010 and final entries close and must be received by 5pm AEST on 07/01/2011 ("Contest Period"). Winners will be notified by email by 15/01/2011 ("Winner Notification Date"). Winners' names may be published on www.youtube.com.au and/or www.sydneyfestival.org.au. The Promoter's ("Sydney Festival") decision is final and no correspondence will be entered into unless deemed necessary for the fulfilment of the promotion by the Promoter. An entry is deemed to be received at the time of its receipt by the Promoter and not at the time of transmission by the entrant. 5. This is a game of skill and chance plays no part in the determination of winners. Each entry will be individually judged by a panel of judges selected in the Promoter's sole discretion ("Judging Panel"). Each Eligible Video Submission will be judged according to its merits on the basis of the following criteria: Creativity (25%), Entertainment Value (25%), Overall Impression (50%) (collectively, the "Judging Criteria") as determined by the Promoter in its sole discretion. The Judging Panel's decision is final and no correspondence will be entered into. In the event of a tie, all members of the panel will be granted one vote to determine a winner. 6. It is a requirement of this contest that these Eligible Entrants provide further contact details upon request via youtube messaging, including their telephone number and address, in order to be awarded a prize. Failing to supply contact details within 24 hours will result in being ineligible to receive a prize and any prize that they would otherwise be entitled to will be forfeited. 7. No Eligible Entrant or anyone acting on your behalf may offer consideration, services, or anything of value in an attempt to further your position in the Contest. 8. To enter, Eligible Entrants must, during the Contest Period, go to www.youtube.com/sydneyfestival and upload a short video under 60 seconds from their YouTube account that responds to the statement: "convince us why we can't do Festival TV without you" ("Video Submission") and 'which adheres to these conditions of entry. By entering, the entrant agrees to these Terms and Conditions. If at any time the Eligible Entrant removes or makes private their short video from their YouTube account their entry will be disqualified. 9. All Video Submissions will be reviewed, with a selection being posted at www.youtube.com/sydneyfestival (Contest Website). There may be a delay in the posting of your Video Submission on the Contest Website. The Promoter reserves the right not to post Video Submissions on the Contest Website in its sole discretion. Once a Video Submission is posted on the Contest Website by the Promoter it becomes an "Eligible Video Submission". 10. All Video Submissions must conform to, and all Eligible Entrants agree to: a. these Conditions of Entry; b. YouTube Site's Terms of Service set forth at http://www.youtube.com/t/terms ("YouTube Terms"); c. the "YouTube Community Guidelines" set forth at http://www.youtube.com/t/community_guidelines ("Code of Conduct"); and Video Submissions that in the Promoter's opinion do not comply with the above rules and guidelines will be disqualified from the Contest and will not be posted on the Contest Website, or if already posted on the Contest Website, may be removed from the Contest Website at any time. Any Video Submission that the Promoter decides not to post on the Contest Website will not be eligible to win a prize and will not be an Eligible Video Submission for the purposes of these Conditions of Entry. Decisions of the Promoter are final and binding. 11. By entering the Contest, each Eligible Entrant warrants the following: a. your Video Submission, and all elements of your Video Submission, satisfy these Conditions of Entry, the YouTube Terms and the YouTube Community Guidelines; and b. your Video Submission: (i) is your original work; (ii) responds in any fashion to the statement: "convince us why we can't do festival tv without you" (iii) has not previously been published or won an award or prize of any kind; (iv) does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, image rights or any other intellectual property rights; (v) is not subject to any third party agreements, and that the Promoter will not be required to pay or incur any sums to any person or entity as a result of their use, exhibition, or exploitation of the idea or video or elements therein; (vi) has written proof that any required permits from local authorities and other permissions required to produce the Video Submission have been obtained; (vii) does not contain any content that is, or is likely to be considered offensive by the Promoter or could adversely affect the name, reputation, or goodwill of the Promoter; (viii) does not feature, refer to, or mention any commercial brands, including, but not limited to Festival sponsors. (ix) Each Video Submission may only be submitted by a single Registered User. (x) By entering the Contest, you represent and warrant that you have obtained all of the rights, licenses, and permissions from any other person who helped to create the Video Submission. If the Promoter determines, in its sole discretion, that you have breached any of the above warranties, your Video Submission will be disqualified. 12. The Promoter reserves the right to verify the validity of entries and entrants (including an entrant's identity, age and address) and to disqualify any entrant who submits an entry that is not in accordance with these Conditions of Entry, who tampers with the entry process or who submits an entry that the Promoter, in its sole discretion, deems to be offensive, inappropriate, defamatory or otherwise not in keeping with the spirit of the contest. 13. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights. Incomplete, indecipherable, or illegible entries will be deemed invalid. Any incorrect entrant details submitted through the entrants YouTube account may render the corresponding entry invalid. It is each entrant's responsibility to update their Registered User details on YouTube if their personal details change prior to the Winner Notification Date. 14. If there is a dispute as to the identity of an entrant, the entrant will be deemed to be the person in whose name the corresponding YouTube account is held. 15. The winning entry as judged by the Promoter in accordance with the Judging Criteria will win the following grand prize: A money can't buy opportunity to be one of the Faces of Festival TV - one of our on the ground reporters for Festival TV during January 2011. The winner will work with the Producer of Festival TV to create story concepts and/or segment ideas, which the winner will shoot with the Festival TV film crews & editors. The winner will be paid a wage for work completed, be provided with access to events and artists required for the completion of the work. 16. Completed work will be uploaded to Sydney Festival's You Tube channel solely at the Producers discretion. 17. The winner must be available to work a minimum of 5 days during Sydney Festival 2011 (January 8-30). Exact working schedule and hours required will be established by the producer and may be more or less than 5 days work, at the discretion of the Producer. The winner will be renumerated for their work, however all additional costs not expressly stated (including, but not limited to accommodation), but which may be incurred in acceptance and use of the Prize, are the responsibility of the winner. 18. It is a condition of accepting the Prize that the winner may be required to sign a legal release or releases in a form determined by the Promoter and/or prize supplier in its or their absolute discretion. 19. The Promoter reserves the right to request the winner to produce (within the requested time) appropriate photo identification or other documentation (to the Promoter's satisfaction in its sole discretion) in order to confirm their identity and age, before issuing the Prize. 20. The winner of the Prize must confirm within 2 days of being notified whether he/she is able to take the prize. 21. If the winner is unable to take the Prize, the prize winner will forfeit the prize and it will go to the next winning entry, until awarded to an Eligible Entrant who confirms that he/she is able to take the prize. 22. If for any reason whatsoever the prize winner does not take their prize or an element of their prize at the time stipulated by the Promoter, then the prize or that element of the prize will be forfeited by the prize winner and neither cash nor any other prize will be awarded in lieu. In any event, if a winner does not claim their prize within 3 days of the date upon which the Promoter first attempts to contact them, they will forfeit the prize and the Promoter will select the next best entry. This process will continue either until the particular prize is claimed or valid entries are exhausted, whichever occurs first. 23. Unless otherwise stipulated, no prize is transferable, exchangeable or redeemable for cash. 24. The Eligible Entrants grant to Promoter a perpetual, worldwide, non-exclusive, irrevocable licence to use, copy, modify and otherwise exploit the Video Submissions to the extent necessary to market and promote the contest, any future contests similar to the contest, and for any related purposes. 25. If a prize (or part of any prize) is unavailable, the Promoter, in its discretion, reserves the right to substitute the prize (or that part of the prize) with an alternative prize to the equal value and/or specification, unless to do so would be prohibited by law. 26. The Promoter reserves the right to select multiple winners. If this is the case, all winners will be offered the full prize, as described in Clause 15. 27. If for any reason whatsoever beyond the reasonable control of the Promoter, the contest is not capable of being conducted as reasonably anticipated, the Promoter reserves the right, in its sole discretion, unless to do so would be prohibited by law, to (a) disqualify any entrant; and/or (b) to cancel, suspend, modify, terminate or cancel the promotion. 28. Unless otherwise stipulated, no prize, is transferable, exchangeable or redeemable for cash. 29. Except for any implied condition or warranty the exclusion of which from these conditions of entry would contravene any statute or cause any part of these conditions of entry to be void ("Non Excludable Condition"), the Promoter excludes from these conditions of entry all conditions, warranties and terms, implied by statute, general law or custom. Except for any liability in relation to a Non Excludable Condition, the Promoter (including its officer, employees and agents) excludes all liability whether arising in tort (including, without limitation, negligence), contract or otherwise for any personal injury or any other loss or damage (including without limitation loss of opportunity or loss or profits) whether direct, indirect, special or consequential, arising in any way out of the contest, including, without limitation, the following: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter's control): (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost altered, damaged or misdirected (whether or not after receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any variation in prize value to that sated in these conditions of entry ; (e) any tax implications; (f) the cancellation or postponement of the Event; and/or (g) a prize or use of a prize. 30. Each entrant consents, if the entrant becomes a winner, to the Promoter using the entrant's name, likeness, image and/or voice (including photograph, film and/or recording of the same) in an media for an unlimited period of time without remuneration for the purpose of promoting this contest (including any outcome), the Promoter and or products/services supplied by the Promoter. 31. The Promoter collects personal information in order to conduct the contest and provide any goods/services requested and may, for that purpose, disclose such information to third parties, including, but not limited to, prize suppliers or a regulatory authority and for any purpose to which the entrant has previously consented, including but not limited to, future promotional, marketing and publicity purposes. Entrants should direct any request to access, update or correct information to the Promoter. 32. Costs associated with accessing the Contest Website remain an Eligible Entrant's responsibility and may vary depending on the internet service provider used. 33.
