"VITASOY MUFFIN MAESTRO" PROMOTION

HOW TO ENTER

To enter the Vitasoy Muffin Maestro promotion ("Promotion"), entrants must do the following between 12 noon AEST on 13 May 2011 and 11:59pm AEST on 24 June 2011 ("Promotional Period"):
(a) log into the Vitasoy website at http://www.soy.com.au/the-muffin-maestro-competition ("Website"),
(b) read and agree to these Terms and Conditions;
(c) fully complete the online entry form by providing their requested details including their full name, a valid email address and date of birth; and
(d) post an answer, in 25 words or less, to the question: "As the Maestro of Muffins, what are your favourite ingredients in a creative Muffin creation?" on the Vitasoy Competition Page (http://www.soy.com.au/the-muffin-maestro-competition ).


TERMS AND CONDITIONS

1. Information on how to enter and the prize forms part of these Terms and Conditions. Participation in this promotion is deemed acceptance of these Terms and Conditions.

2. Entry is only open to Australian residents aged 18 years or over. Entries must be submitted during the Promotional Period.

3. Employees (and their immediate families) of the Promoter and agencies associated with this Promotion are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.

4. The Promoter reserves the right, at any time, to verify the validity of entries and entrants (including an entrant's identity, age and place of residence) and to disqualify any entrant who submits an entry that is not in accordance with these Terms and Conditions or who tampers with the entry process. Errors and omissions will be accepted at the Promoter's discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

5. Incomplete or indecipherable entries will be deemed invalid.

6. Individuals can submit as many entries as they like, however, only the first post submitted per person will be eligible for judging and to win the Prize.

7. If there is a dispute as to the identity of an entrant, the Promoter reserves the right, in its discretion, to determine the identity of the entrant.

8. Promotion commences 12 noon AEST on 13 May 2011 and ends 11:59pm AEST on 24 June 2011.

9. This is a game of skill and chance plays no part in determining the winner. The Promoter will individually judge each entry taking into account the originality and creative merit of the answer provided to the question "Describe your most magnificent soymilk muffin creation".

10. The winner will be judged by the Promoter's panel of judges on 1 July 2011. The Promoter reserves the right to select additional reserve entries which it determines to be the next best, and record them in order, in case of an invalid entry or ineligible entrant.

11. The winner will be notified by email.

12. The Promoter's decisions on all aspects of this Promotion are final and no correspondence will be entered into.

13. The best valid entry, as determined by the Promoter, will win Vitasoy hamper which contains: a KitchenAid Artisan KSM 150 Stand Mixer; a Cook Book ‘When I get home' (2009, Penguin Australia) by Matt Moran; one twelve month subscription to either ‘Men's Health' or ‘Women's Health' Magazine; and a case of Vitasoy product (together, the "Prize"). Total Prize Value is $1,000. KitchenAid, Penguin Australia, Matt Moran and Rodale Magazines are not sponsors of or in anyway associated with this Promotion. The Prize will be delivered to the winner's nominated address within 28 days of the end of the Promotion Period. If the winner is not present to accept delivery of the Prize, the Prize may be left at the entrant's front door. Where this is not possible the Promoter or its agent will endeavour to inform the winner as to an alternative method of collection / delivery. The Promoter accepts no responsibility for damage or theft of the Prize.

14. If the Prize (or part of the Prize) is unavailable, the Promoter, in its discretion, reserves the right to substitute the Prize (or that part of the Prize) with a prize to the equal value and specification.

15. The Prize, and any part of the Prize, is not transferable or exchangeable and cannot be taken as cash.

16. When an entrant submits or posts any materials (including their answer/s) via the Promotion or the Website ("Content"), the entrant, unless the Promoter advises otherwise, agrees to assign all of their rights, title and interest (including copyright) in and to such Content to the Promoter. Entrants consent to grant the Promoter, its affiliates and sub-licensees a non-exclusive, royalty-free, perpetual, worldwide, irrevocable, and sub-licensable right to use, reproduce, modify, adapt, publish and display such Content for any purpose in any media, without compensation, restriction on use, attribution or liability. Entrants agree not to assert any moral rights in relation to such use and warrant that they have the full authority to grant these rights.

17. Entrants agree that they are fully responsible for the Content they submit. The Promoter shall not be liable in any way for such Content, to the fullest extent permitted by law. The Promoter may remove any Content without notice for any reason whatsoever. Entrants warrant and agree that: (a) they will not submit any Content that is unlawful or fraudulent, or that may breach any intellectual property, privacy, publicity or other rights of any third party, or which is defamatory, obscene, derogatory, pornographic, sexually inappropriate, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, not suitable for children aged under 15, or otherwise unsuitable for publication; (b) they will obtain prior consent from any person or property that appears in their Content; (c) they will obtain full prior consent from any person who has jointly created or has any rights in the Content, to the uses and terms contained in these Terms and Conditions; (d) their Content shall not contain viruses or cause injury or harm to any person or entity; and (e) they will comply with all applicable laws and regulations, including without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others' computer or communication systems.

18. Each entrant warrants to the Promoter that each entry submitted is an original literary work of the entrant that does not infringe the rights of any third party. The entrant agrees to indemnify the Promoter against all costs and claims by third parties arising from a breach of this warranty.

19. Without limiting any other terms herein, the entrant agrees to indemnify the Promoter for any breach of the above terms.

20. Entrants consent to the Promoter using the entrant's name, likeness, image and/or voice in the event they are a winner (including photograph, film and/or recording of the same) in any media for a reasonable period without remuneration for the purpose of promoting this Promotion (including any outcome), and promoting any products manufactured, distributed and/or supplied by the Promoter.

21. If this Promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, the Promoter reserves the right, in its discretion and to the fullest extent permitted by law, to: (a) disqualify any entrant; or (b) modify, suspend, terminate or cancel the Promotion, as appropriate.

22. Any cost associated with accessing the promotional Website is the entrant's responsibility and is dependent on the Internet service provider used.

23. Except for any liability that is caused by the negligence or wilful misconduct of the Promoter, or which the Promoter cannot otherwise exclude by law, the Promoter (including its officers, employees and agents) excludes all liability for any personal injury or any loss or damage (including loss of opportunity), arising in any way out of the Promotion, including, but not limited to, where arising out of the following: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter's control); (b) any theft, unauthorised access or third party interference; (c) any entry or Prize claim that is late, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any tax liability incurred by the winner or an entrant; (e) use of the Prize; or (f) the actions of third parties who manufacture or supply parts of the Prize (excluding the Vitasoy product component).

24. By entering the Promotion, each entrant consents to the Promoter collecting their personal information in order to conduct the Promotion and may, for this purpose, disclose such information to third parties, including but not limited to agents, contractors, service providers, and Prize suppliers. Entry is conditional on providing this information. Any entrant who elects to receive further marketing communications from the Promoter, by making the appropriate selection on the entry form, also consents to the Promoter using the information for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the entrant. Entrants should direct any request to access, update or correct their personal information to the Promoter (see below for contact details). All entries become the property of the Promoter.
