THE LIFESTYLE CHANNEL’S “COME DINE WITH ME AUSTRALIA” COMPETITION TERMS AND CONDITIONS

ENTRY INTO THE COMPETITION

1. Entry into this competition (the “Competition”) is open to all permanent residents of Australia aged 18 years and over with an active FOXTEL, AUSTAR or Optus TV subscription (subject to clause 3). The Promoter is XYZnetworks Pty Limited (ABN: 71 066 812 119) of Level 1, 5 Thomas Holt Drive, North Ryde, NSW 2113 (the “Promoter”). Information on how to enter forms part of the terms of entry. Entry into the Competition is deemed acceptance of these terms and conditions.

2. The Competition is a game of chance, and skill plays no part in determining the winner.

3. The Promotion is only open to eligible entrants, being individuals who: a) are FOXTEL, AUSTAR or Optus TV subscribers, or live in a household with a FOXTEL, AUSTAR or Optus TV subscription and have the subscriber’s permission, and the subscriber’s account is not in arrears for the duration of the Promotion; and b) are permanent residents of Australia over the age of 18.

4. The officers, management and employees (or immediate family of an officer, manager or employee) of the Promoter, the agencies associated with this Competition, FOXTEL, AUSTAR, Optus TV and their related bodies corporate are not eligible to enter.

5. Competition begins at 20:31hrs (AEDST) on Monday 17th January 2011 and closes at 20:30hrs (AEDT) on Saturday 12th February 2011 (the “Competition Period”). However, the entry periods are as follows:

6. To enter the Competition and be eligible to win, entrants must:

i) Watch “Come Dine With Me Australia” (“Program”) on The LifeStyle Channel during the Competition Period and take note of the code word supplied at some time during transmission; this will need to be used to enter. The code word will change nightly and entries which quote an incorrect or outdated code word will be ineligible for entry;

ii) Send an SMS message containing their name and the current daily code word to 1998 8855. Entrants will receive a reply SMS message confirming their entry has been received.

7. Only code words supplied at the time of transmission of the Program will be valid. Entrant’s acknowledge that time codes which appear in playback viewings of the Program, including where the Program is recorded after the time of transmission, may be deemed invalid if the entry period for that code word has closed in accordance with the dates set out in clause 5.

8. The SMS lines will be open from 20:31 to 20:30 (AEDT) the entire entry period.

9. The entry mechanic is only open to consumers with an SMS compatible mobile phone connected to a service provider which permits text messaging to the promotional SMS number. It is recommended that entrants check with their individual service provider in this regard.

10. SMS entry cost is $0.55c incl GST which is charged by your mobile phone carrier provider.

11. Incomplete entries or those with defamatory, copyrighted or offensive content will be ineligible. It is the entrants’ responsibility to inform the Promoter if their residential address, email address or phone number changes during the Competition Period.

12. Entrants can enter the Competition as many times as they like. However, the use of any automated software or any other mechanical or electronic means that permits the participant automatically to enter repeatedly is strictly prohibited (“Repeat Entry Device”). If the Promoter reasonably believes that an entrant is using a Repeat Entry Device, the Promoter may disqualify that entrant without notice. To ensure fairness, the Promoter may undertake automatic and/or manual audits of entries and may deem entries ineligible if it is reasonably believed that they are frivolous, incomprehensible, incomplete, or otherwise not genuine.

13. Any person or household who within 365 days prior to the day on which the competition first commenced has won a prize in value which is greater than or equal to $5,000 from another competition run by the promoter is not eligible to enter.

PRIZE

14. There will be 4 x prizes awarded during the promotional period. 1 x prize will be drawn each week. Each prize consists of AUD $2,000 in the form of a crossed cheque made out to the prize winner and to be deposited in the prize winner’s bank account only (“Prize”).

15. The total prize pool value is AUD $8,000 (4x AUD $2,000 prizes).

16. The Prize is not transferable. The Prize cannot be exchanged for any other prize/s. The contents of the Prize will be at the Promoter’s sole discretion. The Prize is subject to availability and the terms and conditions of the entities supplying the Prize, as well as any terms and conditions of the depositing bank, subject to State Regulation.

17. All entrants understand that there may be tax or other implications following the award of the Prize and should seek independent advice. All entrants acknowledge that the Promoter may require the Prize winner to (and the Prize winner will) reasonably execute such further documents to limit the Promoter’s liability in relation to the Prize.

18. Only one Prize per household will be awarded for the duration of the promotion (excluding SA residents who are entitled to win more than one prize). In the event that an entrant wins more than one prize, the first prize won will be awarded and the remaining prizes will be re-drawn (excluding SA residents).

WINNERS

19. The Prize winners will be randomly selected from all eligible entries received during the selected entry period by Beinteractive at Level 8, 155 George Street, Sydney NSW 2000 at 9am (AEDT) on Monday 24th January 2011 (Entry Period 1-5), Monday 31st January 2011 (Entry Period 6-10), Monday 7th February 2011 (Entry Period 11-15) and Monday 14th February 2011 (Entry period 16-20). The Prize winners will be notified in writing and will have their name published in the Public Notices section of The Australian newspaper on Thursday 17th February 2011. The Prize must be claimed within 7 days of the publication of the Prize winner. 20. The Promoter shall conduct such further redraws as may be deemed necessary at Beinteractive, Level 9, 155 George Street, Sydney NSW 2000 on Monday 16 May 2011 at 3pm (AEDT) to distribute any prizes unclaimed by that date, subject to State Regulation. The redrawn winner of any unclaimed Prize will be notified in writing and will have their details published in the Public Notices section of The Australian newspaper on Friday 20 May 2011.

21. Should an entrant’s contact details change during the promotional period, it is the entrant's responsibility to notify the Promoter. A request to access or modify any information provided in an entry should be directed to Promoter.

22. If a Prize winner cannot be contacted or does not claim the Prize by the stipulated date, then the Prize will be forfeited and a substitute prize will not be offered in lieu of the Prize subject to State Regulation.

AGE

21. All entrants must be over the age of 18 years. Entries received from persons who are under the age of 18 will be ineligible to win the Prizes.

GENERAL 21. Programming and other quality control errors will not invalidate an otherwise valid prize claim.

22. Unless otherwise due to fraud or ineligibility under these conditions of entry, all existing claims for prizes and entitlements to claims will be met notwithstanding the advertised Prize pool has been exceeded.

23. Printing errors or other quality control matters outside the control of the entrant shall not be used as the sole basis for refusing to award a Prize. 22. All entrants agree to provide the Promoter or the Promoter’s authorised agent with proof of identity, residency, age and/or proof of entry validity if selected as a Prize winner or if reasonably requested by the Promoter or the Promoter’s authorised agent. Proof of age, identification, residency and entry considered suitable for verification is at the sole discretion of the Promoter. In the event that the Prize winner cannot provide suitable proof, the Prize winner will forfeit the Prize in whole and no substitute will be offered.

23. No responsibility will be taken by the Promoter, The LifeStyle Channel, FOXTEL, AUSTAR or Optus TV for any changes in dates, times or cancellations or other arrangements that may prevent the Prize winner from winning the Prize.

24. Subject to relevant state authority approval, the Promoter reserves the right, in its absolute discretion, at any time before the awarding of the Prizes to cancel the competition or to vary or cancel the award of the Prizes including, without limitation, circumstances where in the Promoter’s opinion (which it shall form in its absolute discretion): (a) a Prize winner does not satisfy the Competition entry requirements; or (b) the Promoter cannot conduct the Competition or award the Prize/s for any reason beyond its control.

25. Subject to relevant state authority approval, in the event that the Promoter cancels the Competition or varies or withdraws the Prizes it shall not: (a) be liable to any person for any loss or damage (including loss or damage caused by any negligence) arising out of, or in connection with, such cancellation, variation or withdrawal; and (b) be required to conduct the Competition at any other time.

26. A decision of the Promoter in relation to the conduct of the Competition is binding and conclusive and no correspondence will be entered into.

27. It is a condition of accepting the Prize that the Prize winner must comply with all the conditions associated with use of the Prize and the Prize supplier’s requirements.

28. Entrants enter the Competition at their sole risk. With the exception of liability which cannot be excluded by law, the Promoter shall not be liable for any loss or damage which is suffered (including but not limited to indirect or consequential loss) or for personal injury suffered or sustained as a result of taking the Prize or entering the Competition.

29. The Promoter reserves the right to cancel the award of Prize/s to, and/or disqualify any individual who, as determined in the sole discretion of the Promoter, has engaged in unlawful or improper conduct that is designed to jeopardise the fair conduct of the Competition. The Promoter reserves the right to cancel the award of the Prize where it has determined that the individual has engaged in unlawful or improper conduct or where it has otherwise breached these terms and conditions subject to State Regulation.

30. No responsibility will be accepted by the Promoter for late, lost or misdirected entries and all entries are deemed to be received at the time of receipt of the entry into the Promoter’s database and NOT time of transmission by the entrant. The Promoter will accept no responsibility for any delays to entry caused by technical disruptions or malfunctions. The Promoter accepts no responsibility for outdated or incorrect contact details or contact details by which the entrant cannot be contacted during business hours on the relevant dates.

31. All entries become the property of the Promoter and may be communicated to the public by the Promoter or used for promotional purposes, subject to the Promoter’s privacy policy which is available at www.lifestylechannel.com.au. By entering the Competition, the Prize winner agrees to the use of their name, image, audio-visual recording and/or photograph/s for, without compensation, and agrees that the Promoter will own copyright in any such images, audio-visual recordings and photograph/s.
