SOLUXURY HMC, registered with the Evry Register of Companies (RCS) under No. B 501 623 748, a limited liability company with a share capital of €10,226,353.00, with its registered office at 2 Rue de la Mare Neuve – 91000 Evry – France (hereinafter the "Organiser"), is organising a free competition and no purchase necessary, entitled "Around the World With Sofitel 80 Magnifique Nights*", online and via any electronic form of communication enabling Internet access.

The competition will run from 12:00pm. on 29 April 2011 to 11:59 am. on 18 July 2011, inclusive.

The days and times specified in these regulations are those of the Brussels, Copenhagen, Madrid and Paris time zone (UTC+01:00). No other time zone will be taken into account for participation in the contest.

All trademarks, logos and other distinctive signs displayed on the aforementioned website and on sites to which it provides access via hypertext links, are or are liable to be the exclusive property of their owners and are or are liable to be protected.

Any unauthorized reproduction of these trademarks, logos and signs constitutes or may constitute a criminal offence punishable by law.

All software used on the aforementioned website and those to which it provides access, and all texts, comments, illustrations and images reproduced on the site and those to which it provides access are or are liable to be subject to copyright and unauthorized reproduction constitutes or may constitute a criminal offence punishable by law.

Article 2: TAKING PART

Taking part in the competition is free, without obligation to purchase and open to any adult individual to the exclusion of employees and representatives of the Organiser, its partners and subcontractors, and their counsel and family members, including cohabitants and, generally, of any company or person involved, directly or indirectly in organising or administering the competition.

Taking part in the competition entails unconditional acceptance of these regulations, in all their provisions, of the rules of conduct in force concerning the Internet, as well as all laws and regulations concerning free competitions.

Taking part in the competition also entails acceptance of the conditions of use of the Sky Team “Around the World” tickets.

Failure to comply with the terms stated in the regulations shall make participation invalid.

Article 3: ANNOUNCEMENT OF THE COMPETITION

This contest is announced on accessible websites with www.sofitel.com and www.sofitel80nights.com domain names and on Sofitel's Facebook® Fan Page, in the press, online and in the various Sofitel hotels.

Article 4: TERMS OF PARTICIPATION

To enter the "Around the World With Sofitel: 80 Magnifique Nights*" contest, the persons described in Article 2 must have access to an Internet connection and go to the url www.sofitel80nights.com and complete a registration form as follows:

1/ Participants must click on the "start your journey" tab and complete the onsite registration form with their name, surname and email address. Participants can also use Facebook Connect® to pre-populate the registration form fields. Once registered, Participants will be connected to the site.

2/ Upon registration, participants receive an email with their login (email) and password (generated by the system) with which they can reconnect to the site later.

3/ On the site, participants will access a globe showing the destinations on offer (hereinafter the "Globe"). Participants must select their eight ( Cool

favourite destinations on the Globe by clicking the geographical points corresponding to the location of one or more Sofitel hotels. In case of there being several Sofitel hotels for one destination, participants are prompted to select the Sofitel hotel of choice for this step. Participants thus select each stage of their ideal journey on the Globe, selecting a total of eight ( Cool

favourite destinations. The selection must include a minimum of one and a maximum of three destinations per continent. The choice and the order of the destinations and especially the towns served, are subject to the conditions of sale and use of the SkyTeam Around the World tickets.

4/ If a participant hasn't validated his or her eight ( Cool

destinations, he or she may always add, delete or modify the favourite destinations selected. Once a participant has validated his or her eight ( Cool

favourite destinations, he or she may no longer add, delete or modify the favourite destinations selected.

5/ Once a participant has validated his or her selection of favourite destinations, an e-mail will be sent to the email address provided at the time of the participant's registration. The system prompts the participant to confirm his or her participation in the contest by clicking a link in the email, the participant must then enter their new login and password again in order to identify themselves to the site.

6/ Then, the participant accesses a page allowing him or her increased chances. Participants may:

- Send emails to friends by entering up to five friends' names and email addresses and clicking on the "send" tab, which provides an extra chance of being drawn for each e-mail address entered, for up to five email addresses.
- By becoming a fan of Sofitel's Facebook® page, which entails five additional chances to be drawn. If a participant is already a fan of Sofitel's Facebook® page, the system detects the connection on Facebook®, and automatically adds the five extra chances to be drawn (the button is thus disabled).
- Enter his or her AIClub card number if in possession of one, which means five additional chances of being drawn.

Participants may, if desired, share their selection of favourite destinations on their wall.

On the "increase your chances" page, participants can view the different random draws.

The information entered by the participant during registration must be full and valid on the day of the draw. Any incomplete participation, containing misleading or inaccurate information or statements, or not meeting the terms of these regulations will be considered void and will automatically result in the participant concerned being disqualified and, where applicable, the prize awarded being cancelled.

Only one entry per person is allowed for the entire duration of the competition.

Any person registering under different e-mails will be disqualified.

If one or more of the participating hotels leaves the SOFITEL network before a winner uses a prize, the stay will be in another Sofitel network member hotel, chosen by the Organiser at the time of the stay.

The winners of each prize in the competition shall be drawn and assigned the prizes mentioned in section 5 below, of these regulations.

Article 5: ALLOCATIONS

The total prizes allocated for the competition consist of eighty (80) nights for two people in Sofitel hotels and two (2) SkyTeam Round the World Passes. This total allocation is divided into eight ( Cool

prizes.

The eight ( Cool

competition prizes are:

- Prize 1: a thirty-one (31) night stay for two (2) people in eight ( Cool

Sofitel hotels, and two (2) SkyTeam Round the World Passes, for a total minimum retail value of seven thousand Euros (€7,000) excluding tax, for both people, including:

- A thirty-one-(31) consecutive-night and identical stay for two (2) people in a "luxury" room, subject to availability of the room category, fixed-price, non-cancelable and non refundable, on the selected dates (the "RA3 rate"), including two (2) breakfasts.
In case of unavailability of the "luxury" room in a given hotel, a room of the highest possible class beneath that one will be awarded, subject to availability of the room category at the RA3 rate, and so on. Any extras consumed by the winner and his or her companion will remain at his or her expense. Each stay in hotels may not exceed seven (7) nights, whether consecutive or not. The winner and their companion must stay at the hotel together.
The thirty-one (31) nights must be booked at one time at least thirty-one (31) days before departure. Once the reservation is made, it may not be changed, exchanged, canceled or refunded. Winners must make reservations via the Sofitel Worldwide Marketing department, contact Sabria Djafar: sabria.djafar@sofitel.com. The hotels will not take any direct bookings.

- Two (2) SkyTeam Round the World economy class passes, with the first departure from the city served by SkyTeam nearest the residence of the winner. The costs of travel to and from the departure airport to and from the airport nearest the winner's place of residence as well as transfer fees between airports and accommodation are at the expense of the winner and his or her companion. Only those stopovers between two destinations and corresponding Sofitel hotels considered as being obligatory in the eyes of the Sky Team service, are authorised. Accommodation costs in stopover cities where no Sofitel hotel is located will be covered for a double room, including two (2) breakfasts, in a four (4) star (international standard) hotel.
General conditions of sale and use of SkyTeam World Tour tickets can be consulted on http://fr.skyteam.com/, as well as via the SkyTeam member companies. These tickets are valid for any number of miles between 26,000 and 39,000 miles. Tickets do not include travel insurance. The winner and their companion must make their reservations together and travel together.
Tickets must be booked at least thirty-one (31) days in advance and are subject to availability. Both tickets must be booked for the same dates and times for the winner and his or her companion. Both tickets must be reserved for periods matching those of hotel bookings in the Sofitel Hotels concerned. Reservations will be made via the Sofitel Worldwide Marketing department, contact Sabria Djafar: sabria.djafar@sofitel.com. Once the reservation has been made, the Organiser will not accept any modification that the winner may make to the itinerary. The above conditions shall apply notwithstanding any more favourable conditions that may be stipulated by SkyTeam in its general conditions of sale and use of its tickets.
The journey must include at least one destination, and a maximum of three destinations per continent. The choice and the order of the destinations and especially the towns served, are subject to the conditions of sale and use of the SkyTeam Around the World tickets.
The eight ( Cool

favourite destinations and hotels selected by the participant when deciding his or her ideal route on the site www.sofitel80nights.com. shall be exclusively ones that are served by Sky Team. The Organiser shall not be held liable if one or more of the destinations chosen is not or are not served by SkyTeam: the corresponding destination(s) will be accordingly replaced by another Sofitel hotel or other Sofitel hotels, chosen by the Organiser. In any event, the number of Sofitel hotels visited shall remain at eight ( Cool

.
- Prizes 2 to 8: a seven (7) consecutive-night and identical stay for two (2) people at a Sofitel hotel for a minimum retail value of seven hundred Euros (€700) excluding tax, for both people sharing a "luxury" double room, subject to availability of the room category at the RA3 tariff, including two breakfasts. In case of unavailability of the "luxury" room in a given hotel, a room of the highest possible class beneath that one will be awarded, subject to availability of the room category at the RA3 rate, and so on.
Any extras consumed by the winner and his or her companion will remain at his or her expense.
The winner and their companion must stay at the hotel together. The seven (7) nights must be booked at one time at least thirty-one (31) days before departure. Once the reservation is made, it may not be changed, exchanged, cancelled or refunded. Winners must make reservations via the Sofitel Worldwide Marketing department, contact Sabria Djafar: sabria.djafar@sofitel.com. The hotels will not take any direct bookings. The destination and hotel selected must be included in the selection made by the winner as part of his or her participation in the contest on the site www.sofitel80nights.com.

The approximate retail value of the prizes listed in this section is the value recorded on the date these Regulations were drawn up. Given the duration of the competition described in this Regulation, that value cannot be guaranteed throughout this period.

In the event of this value being changed thereafter because, for example, of higher fuel costs driving up the price of airline tickets, or for any other reason beyond the control of the Organiser or not of its doing, the prizes shall still be allocated according to the description in these regulations but the Organiser may in no circumstances be held responsible for this modification of the commercial value, regardless of its extent.

Article 6: DESIGNATING THE WINNERS

Each member participates in various draws, but may only be awarded one prize. The allocation of each of the eight prizes will result in a separate draw among all participants except those who have already won a prize.

Winners will be determined by a draw conducted by Maître Hauguel, bailiff, CP J-L HAUGUEL & S. SCHAMBOURG, 14, rue du Faubourg Saint-Honoré,75008 PARIS, 18 July 2011. At the time of the draw, one (1) winner will be designated for each prize.

Winners will be notified by the Organiser of the results and the prize they have won by email to the address entered upon registering on the site www.sofitel80nights.com, containing the information needed to make use of the prize.

In the event of an erroneous email address, not making it possible to send the winner the information needed to make use of the prize, said prize shall be considered as definitively abandoned by the winner in the absence of a claim made by the latter to the Organiser within fifteen (15) days of mailing notification of his or her win.

The winner must comply with the regulations. If it turns out that the winner does not meet one of the criteria of these Regulations, the Organiser will not be in a position to allocate him or her the prize.

Awards will under no circumstances be exchanged or taken against their cash value or against any other award or transferred to third parties. However, in cases of force majeure or where circumstances so require it, the Organiser reserves the right to substitute awards for other awards of an equivalent value at any time.

Each prize must necessarily be used in full within twelve (12) months from the date of the draw.

Awards may not give rise to any dispute or claim of any kind. The winners agree not to seek the liability of the Organiser in respect of the awards, including their delivery, their state and their features. The Organiser shall not be held liable for any harm that might be caused by the acceptance and/or use of the prize.

The Organiser may not be held liable either for any delays, losses, damage or deterioration affecting the elements allowing use of the prizes or their consignment, or the lack of transparency of fees, likely to be the doing of the transport provider. It assumes no liability for the condition of the above items on the delivery of the mail containing them.

Without prejudice to any legal action and to its entitlement to cancel the registration of participants, the Organiser is not obliged to send information enabling the use of a prize to a winner who has not entered his or her details correctly in participating, where he or she has manifestly succeeded, by any means, in distorting the outcome of the competition or has not complied with these Regulations.

Article 7: CHANGE OF COMPETITION DATES

The Organiser shall not incur any liability if, in cases of force majeure or events beyond its control, it was obliged to cancel this contest or to reduce, extend, postpone it or change its conditions.

Any amendment to the Regulations will result in an additional deposit with the bailiff whose name is mentioned in Article 12.

Article 8: USE OF WINNERS' IDENTITIES

The winners authorize the Organiser, solely because of their participation in the contest, to reproduce, display and distribute their full names on the websites of the Organiser and on Sofitel’s Facebook® page and in any promotional event related to this contest without such use conferring entitlement to remuneration or any benefit other than the award assigned.

Winners allow the Organiser, ex gratia, to display, reproduce, perform or broadcast their photographs, by all means and methods, on all media (including Sofitel websites and public relations), for communication concerning the competition for a period of 6 months from the draw that awarded them the prizes.

Article 9: VERIFYING WINNERS' IDENTITIES

Participants authorize any checks on their identity and their place of residence. These checks will be conducted in strict compliance with Article 9 of the French Civil Code. Any indication of a forged, fraudulent, false, fake, incorrect or inaccurate identity or address shall result in the annulment of the participation and/or cancellation of the prize awarded.

Article 10: LITIGATION, LIABILITY AND FORCE MAJEURE
Participating in the competition implies awareness and acceptance of the features and limitations of the Internet, especially regarding technical performance, response times for consulting, querying or transferring information, risks of interruption and more generally the risks inherent to any connection and transmission, the lack of protection of certain data against possible misuse or piracy and the risk of contamination by viruses circulating on the network.
The Organiser shall not be held liable for any misuse or disruption resulting from the use of a computer, Internet access, maintenance or malfunction of the used for the competition, the telephone line or other technical connection.
The Organiser shall not be held responsible for any malfunction of the Facebook Connect® tool preventing the participant from pre-populating fields on the competition registration form.
The Organiser specifies that using hyperlinks may lead the participant to other Internet sites, independent of the Organiser who cannot therefore assume liability for the activities of these third party sites. Barring specific prior consent from the Organizer, no participant is allowed to create a hyperlink between the Organiser's website and another website, with the provision of assuming liability.
The Organiser may not be held responsible for the malfunction of the site(s) and/or competition on a specific browser.
The Organiser cannot guarantee that the sites and/or the competition run continuously or do not contain any computer errors, or that defects will be corrected. In case of a technical malfunction of the competition, the Organiser reserves the right to cancel the competition if necessary. No claims will be accepted as a result.
The Organiser shall not be held liable for the data pertaining to a participant's registration not having been received, in whole or in part, for any reason not attributable to the Organiser (for example, a participant having an Internet connection problem, a momentary failure of the Organiser's servers, etc.) or arrived in an unreadable or impossible to process state.
Any information entered by a winner, including contact details, will be considered void and not considered if it contains any inaccuracy.
The Organiser shall not be held liable for damage of any kind (personal, physical, material, financial or otherwise) arising in connection with participation in the contest.
The responsibility of the Organising Company may not be incurred:
• if a participant is accidentally disconnected by the telephone company or ISP.
• if a participant forgets to enter their contact information.
• if a participant suffers any technical failure (bad line or hardware condition, etc.)
• if a technical failure of a server or a telephone line prevents a participant from accessing the competition.
• in the event of a power failure or server problem.
Accordingly, the Organiser shall in no circumstances be held liable, but not limited to:
• any Internet malfunction preventing proper operation and/or progress of the competition.• any failure of any reception equipment or communication lines.
• the loss of any data transmitted via the Internet.
• routing problems.
• the functioning of any software.
• consequences of any virus, computer bug, anomaly or technical failure.
• for any damage caused to a participant's computer.
• any technical, hardware and software failure of any nature whatsoever, preventing or limiting the opportunity to participate in the Competition or corrupting a participant's system.
The Organiser shall not be liable for any damage directly or indirectly resulting from an interruption or malfunction of any kind, of suspension or termination of the competition, for whatever reason or for any direct or indirect damage somehow resulting from connection to the Organiser's website.
Each participant is responsible for taking all appropriate steps to protect against attacks on his or her own data and/or software stored on their computer equipment.
Connecting to the Organiser's website and participating in the Competition is the sole responsibility of the participants.
The Organiser shall not be held liable if, for reasons of force majeure or beyond its control, the contest has to be modified, shortened or cancelled.
The Organiser in all cases reserves the possibility of extending the participation period. Addenda or, in cases of force majeure, amendments to these regulations may occur during the course of the competition.
These addenda and amendments will be considered annexes to these regulations and filed in the Study of the Bailiffs acting as depositary of these Regulations.
The Organiser may rely, in particular for evidence, on any act, circumstance or omission, programs, data, files, records, operations and other items (such as monitoring reports and other status information) from computers or electronic media prepared, received or retained directly or indirectly by the Organiser, including from its information systems, in connection with use of its website.
Participants agree not to challenge these elements, on the basis of any statutory provision whatsoever and which would contemplate that certain documents must be written and/or signed by the parties to constitute proof.
Thus, these elements shall constitute proof and, if produced as evidence by the Organiser in any litigation or other proceedings, will be admissible, valid and enforceable between the parties in the same way, under the same conditions and with the same value as any written and/or signed items.
The Organiser reserves the right to exclude from participation in the competition any person disturbing the course of said competition.
The Organiser reserves the right to use any action and in particular to prosecute anyone who has cheated, deceived, faked or disturbed the operations stated in these Regulations, or attempted to do so.
Any participant who is considered by the Organiser as having disturbed the competition in any of the ways mentioned above shall automatically forfeit any right to claim any prize.
The Organiser reserves the right, particularly in cases of compelling reasons, to shorten, extend or cancel the competition if circumstances so required it. Its liability may not be incurred as a result.
These changes may however be subject to prior notification by all appropriate means, including via the Organiser's website.
The Organiser reserves the right to temporarily suspend the opportunity to participate in the Competition or suspend the Competition itself if it, or its likely hosting provider, can no longer ensure the continuity of service necessary to operate the Competition and/or the security of participants' personal data.
The Organiser may at any time stop all or part of the Competition, in case of force majeure, fortuitous event or under exceptional circumstances (fire, flood, natural disaster, malevolent intrusion into the computer system, strike, change in the Competition’s financial and technical stability, in the event of a breakdown and inhibition of the telecommunication networks, viruses against which there is no sufficient protection, legal and regulatory requirements or policy having the effect of changing these regulations, or other event of force majeure or fortuitous event as defined in section 1148 of the French Civil Code), even resulting from its own actions (in this case subject to good faith).
The competition shall be cancelled in case of force majeure without the entrants or winners being entitled to claim any compensation as a result.
The Organiser shall not be held liable for the winners or their guests' physical inability, in the case of Prize No. 1, to take the flight or to travel to one of the stopovers or destinations, arising by their making use of their prizes, or because of their papers are not in order (no visa, no passport or expired passport, etc.).

Article 11: REFUNDS

Participants who access the site from a modem and using a telephone line charged pro-rata per time used, or per calls, may be reimbursed for the cost of connecting to the www.sofitel80nights.com site at a daily flat-rate for the cost of a fifteen (15)-minute local call from a landline, including tax. Expenses incurred (postage rate in force) by the participant for this application will be refunded upon request. Only one application per participant (same name and address and/or same email address and/or same full bank or post office account details) will be taken into account throughout the competition.

Given current technology and services on offer, where some Internet service providers offer free or fixed internet access, it is expressly agreed that any access to the site achieved on a free or fixed-rate basis (such in particular as cable connection, ADSL or dedicated line) may not give rise to any refund.

Similarly, it is mandatory that any claim be made no later than ten (10) calendar days after receipt of the relevant telephone bill. The date taken into consideration shall be the one stated on the bill.

Refunds will be made by bank transfer to the participant's account.

The refund request must include the following: participant's surname, first name, postal and email addresses (all of which shall be identical to those entered on the competition registration form), bank or post-office account details, date and time of participation, e-mail and password, and when available, a photocopy of the itemized bill from the telephone operator and/or service provider with the date and time of connection underlined. This photocopy will serve as proof of address. The name and address of the person requesting the reimbursement must be the same as those listed on the bill from the telephone operator.

Any claims that are incomplete or do not comply with the provisions of this article will not be considered.

Reimbursing the connection charge for electronic entries shall be done on the basis of the copy of the itemized phone bill enclosed with the claim for reimbursement, it being specified that any participants who have not incurred any additional connection or communication costs by participating in the competition (with a flat-rate subscription, Cybercâble users, etc.) may not obtain a refund.

In all cases, reimbursement is limited to one per household (same surname, same address).

Where the aforementioned conditions are met, expenses incurred by the participant for the stamp required to send the claim will be reimbursed under the same conditions as the connection charges refund, provided the participant make this request in his or her letter requesting reimbursement of charges.

The competition regulations shall be sent, free of charge, to anyone who requests it. Postage charges for this claim will be reimbursed upon request pursuant to the terms of Article 11 of these regulations.

Article 13: INTERPRETING THE REGULATIONS

The Organiser will decide on any matter relating to the application of these regulations, in accordance with French law. These decisions are final.

Any controversy or claim relating to this contest shall be in writing and addressed to Direction Marketing Sofitel Monde, Immeuble Odyssey, 110 avenue de France, 75210 Paris Cedex 13 and may not be taken into account any later than one month after the close of the competition.

Article 14: GOVERNING LAW AND JURISDICTION

These regulations, in particular its validity, interpretation and enforcement, are subject to French law.

Any dispute that cannot be settled amicably shall be brought before the competent courts determined in accordance with the rules of French law.

Article 15: INTELLECTUAL PROPERTY

Participating in the contest does not entitle participants to any rights over intellectual property aspects of the competition, announcement of the latter, its media, etc. Also, in accordance with the French Intellectual Property Code, any reproduction, representation or exploitation of all or part of the elements (graphics, text, etc.) making up this competition and the page www.sofitel80nights.com are strictly prohibited. All trademarks, graphics and product names are trademarks, graphics or product names protected by their respective owners. Any exploitation of elements from the competition, in any mode, is subject to compliance with the rules of intellectual property law.

Article 16: DATA PROTECTION

All personal information collected as part of the competition is processed by computer in accordance with French Data Protection Law n°78-17 of January 6, 1978, as amended by the Law of August 6, 2004.

According to this law, all competition participants stating their identity or their legal representative if they are minors, are entitled to rights to object (Section 38 of the Law), access (Article 39) rectify and delete (Article 40) their data held by the Organiser.

Any personal data collected will be processed for the purpose of administering this Competition. They are intended for the Organiser and its provider, Reflex Paris.
Following the competition period, your personal data will not be stored unless you have expressly and previously agreed to receive Sofitel newsletters via the relevant check box.

Participants who win one of the prizes described in the above article 5 of these regulations, authorise for their name, town and country of residence to be distributed in any medium, including paper or electronic, on which shall be listed the competition winners who have given their permission for this to occur.
