Competition period:
Entries open at 9:00am (AEST) on Wednesday 14th September 2011 and close at 11:59pm (AEDT) Wednesday 12th October 2011. Public voting opens midday (AEDT) Friday 14th October 2011 and closes at midday (AEDT) on Friday 4th November 2011. The winner will be announced Friday 11th November 2011 at midday (AEDT).

Note: Competition is open to Australian residents only, 18 years of age or over.

On the 14th October 2011 all entries will be uploaded to our Facebook page, where it is then over to the public to vote for which photo they feel is the most creative.

The top 30 as voted by the public will then be reviewed by The Weather Channel team and the photo which displays the most creativity will be chosen as the winner.

Each photo also has the chance to be featured on-air on Channel 603, The Weather Channel!

THE WEATHER CHANNEL’S “2011 SPRING PHOTO” COMPETITION
TERMS AND CONDITIONS

ENTRY INTO THE COMPETITION

1. Entry into The Weather Channel’s “2011 Spring Photo” competition (the “Competition”) is open to all residents of Australia who are aged 18 years or over. The Promoter is XYZnetworks Pty Limited (ABN: 71 066 812 119) of Level 1, 5 Thomas Holt Drive, North Ryde, NSW 2113 (the “Promoter”). Information on how to enter forms part of the terms of entry. Entry into the Competition is deemed acceptance of these Terms and Conditions.

2. The officers, management and employees (or immediate family of an officer, manager or employee) of the Promoter, the agencies associated with this Competition, FOXTEL, AUSTAR, Optus TV and their related bodies corporate are not eligible to enter.

3. Any finalist entries submitted for the 2011 “Weather Watcher Photo Competition” for inclusion in The Weather Channel 2012 calendar will be deemed ineligible for this Competition.

4. There are two relevant periods in the Competition:

(a) entries open at 9:00am (AEST) on Wednesday 14th September 2011 and close at 11:59pm (AEDT) Wednesday 12th October 2011 (“Entry Period”); and

(b) public voting opens 12:00pm (AEDT) Friday 14th October 2011 and closes at 12:00pm (AEDT) on Friday 4th November 2011 (“Voting Period”)

The Entry Period and the Voting Period will together be referred to as the “Competition Period”.

5. To enter the Competition and be eligible to win, entrants must:

(a) Go to www.weatherchannel.com.au/comps/spring;
(b) Complete the online entry form; and
(c) Upload an original photograph of spring weather they have taken at an Australian location. The photograph should be a high resolution jpeg image file of no less than 2MB in size;

Valid photo entries will be uploaded by the Promoter to a dedicated Competition application on The Weather Channel’s Facebook page at the same time before commencement of the Voting Period. Visitors to The Weather Channel’s Facebook page will have the opportunity to access the application to view and vote for the photo they feel is the most creative and meritorious during the Voting Period.

The 30 photos with the highest number of votes at the conclusion of the Competition Period will be selected as the finalists. One (1) Major Prize winner and twenty-nine (29) Minor Prize winners will then be selected from the thirty (30) finalists by the Promoter (at its sole discretion on the basis of creativity and originality) in accordance with these Competition Terms and Conditions. For the avoidance of doubt, the photo with the highest number of votes will not automatically be the Major Prize winner (see clause 18 for more details on the judging of the Competition).

5. All entries must include the entrant’s name, address, postcode, daytime phone number (including area code), mobile phone number (if applicable), email address, date of birth and the location of where the photograph was taken. Incomplete entries or those which, in the sole discretion of the Promoter, infringes the intellectual property rights of any third party, contains any objectionable content, profanity or is potentially insulting, inflammatory or defamatory will be disqualified from the Competition without notice. It is each entrant’s responsibility to inform the Promoter if his/her residential address, email address or phone number changes during the Competition Period.

6. Entrants are not permitted to enter the Competition using more than one name or enter the Competition on behalf of any third party. Entrants that are discovered to have done so will be disqualified from the Competition without notice.

7. Only one (1) entry per person is permitted for this Competition. In the event that an entrant uploads more than one (1) entry for the Competition, the Promoter will at its sole discretion accept the first uploaded entry received by the Promoter. The use of any automated software or any other mechanical or electronic means that permits the participant automatically to enter repeatedly is prohibited (“Repeat Entry Device”). If the Promoter reasonably believes that an entrant is using any Repeat Entry Device, the Promoter may disqualify that entrant without notice.

8. Any costs of accessing the internet and Facebook will be dependent on the entrant’s individual Internet Service Provider and the Promoter is not responsible for any costs associated with such Internet access or entering the Competition.

9. This Competition is in no way sponsored, endorsed or administered by, or associated with Facebook. Entrants are providing their information to the Promoter and not to Facebook. By entering this Competition, all entrants agree to a complete release of Facebook. Any questions, comments or complaints regarding the Competition will be directed to the Promoter, not to Facebook.


CONSENTS, WARRANTIES AND LICENCES

10. Each entrant acknowledges the public nature of The Weather Channel’s Facebook page and by entering this Competition, each entrant expressly consents to having their photo, name and his/her state of residence displayed and communicated on the Competition application and, if applicable, on the photo gallery on The Weather Channel’s Facebook page.

11. Each photograph entry must be an original work and must not infringe the copyright or any other rights of any third party. Each entrant warrants that:

(a) his/her entry (including the photograph) is their own original work and not copied in any manner from any other works;
(b) he/she owns all rights and interest in the photograph submitted and have obtained all necessary releases and consents from any persons appearing in the photo and from the owner of any property photographed to enter the photograph for this Competition in accordance with these Terms and Conditions;
(c) he/she has the full power and capacity to grant the rights and consents set out in these Terms and Conditions; and
(d) he/she will fully indemnify the Promoter against any loss or damages suffered by the Promoter in the event any of the warranties set out in this clause are false.

12. Entrants will retain ownership of copyright in their photograph; however, as a condition of entry, each entrant agrees to the following:

a) in addition to the rights and consent granted in clause 10, all entrants agree that their name, image, biography and entries (including, but not limited to, any written answers, photographs/images and videos) may be reproduced, published, communicated, broadcast or shown to the public by the Promoter in any media for its promotional purposes, without compensation to the entrants, subject to the Promoter’s privacy policy which is available at www.weatherchannel.com.au; for this purpose, each entrant grants to the Promoter a non-exclusive, perpetual, worldwide, and royalty-free licence in any such written answers, photographs/images and videos;

b) each entrant consents to any act or omission by the Promoter which may infringe any of the entrant’s moral rights (within the meaning of the Copyright Act 1968 (Cth), including: i) failing to attribute (or correctly attribute) the entrant’s authorship of the entry; or ii) making any modification, variation or amendment of any nature to the entry, whether or not it results in a material distortion or derogatory treatment of the entry; and

c) in addition to the rights and consent set out above, if you are selected as the Major Prize winner, you grant to the Promoter, for a period of one year, an exclusive, irrevocable, perpetual, worldwide, transferable, and royalty-free licence to your winning entry (including, but not limited to, any written answers, photographs/images and videos) for the Promoter’s use for all purpose without restriction and in any media (now known or devised in the future). The only exception to the Promoter’s exclusive right to use the entry during the one year period is for your own private (i.e. no public communication), personal, and non-commercial use.

PRIZE

13. There is one (1) Major Prize and twenty-nine (29) Minor Prizes to be won. The Major Prizes and Minor Prizes are collectively referred to as the “Prize/s”.

a) The Major Prize is valued at up to a maximum of AU$5,500 and consists of:

• $5,000 cash (in the form of a crossed cheque made out to the Major Prize winner and to be deposited in the prize winner’s bank account only); and

• 1 x $500 pack of Seasol and PowerFeed garden products

(the “Major Prize”).

b) There are twenty-nine (29) Minor Prizes to be won. Each Minor Prize consists of The Weather Channel ‘The Sounds of Spring’ CD compilation, valued at up to $29.95 (the “Minor Prizes”).

14. As a condition of accepting the Major Prize, the Major Prize winner agrees to only use the cash towards a garden makeover within six (6) months of being awarded the Major Prize, including for the purchase of any plants, gardening tools and equipment and to engage external gardening services.

15. The total maximum Prize pool value is $6,368.55 (1 x Major Prize valued at $5,500 and 29 x Minor Prizes valued at $29.95 each). The Prizes include delivery to each Prize winners’ residential address. The Prize values are the recommended retail values as provided by the suppliers and are correct at the time of printing. The Promoter is neither responsible nor liable for any change in the value of the Prize occurring between publishing date and date the Prize is claimed.

16. All Prizes are not transferable or redeemable for cash. The Prizes or any element of the Prizes cannot be exchanged for any other prize/s. The contents of the Prizes will be at the Promoter’s sole discretion. The Prizes are subject to availability and the Terms and Conditions of the entities supplying the Prize.

17. All Prize values are in Australian dollars.

JUDGING AND AWARD OF PRIZE

18. The Promoter will review and upload all eligible photo entries onto The Weather Channel’s Facebook Page Competition application. The thirty (30) photographs which have received the highest number of votes at the conclusion of the Competition Period will be the thirty (30) finalists of the Competition. The Major Prize will be awarded to the finalist whom the Promoter judges as the most original, creative and meritorious. The Minor Prizes will be awarded to the remaining twenty-nine (29) finalists. The judging will take place at 5 Thomas Holt Drive, North Ryde, NSW 2113 on Friday 11th November 2011 at 10:00am (AEDT). Chance plays no part in the selection of the Major Prize and Minor Prize winners. The Prize winners will be notified via phone or email on Friday 11th November 2011 and their names published on The Weather Channel’s website and Facebook page from 12:00pm (AEDT) Friday 11th November 2011. The Prizes must be claimed within thirty (30) days of the publication of the Prize winners’ names.

19. If a Prize winner cannot be contacted or does not claim the Prize by the stipulated date, then the Prize will be forfeited and a substitute prize will not be offered in lieu of the Prize.

20. Only one (1) Prize per household will be awarded.


AGE

21. Entries received from persons under the age of 18 (or on behalf of a photographer who is under the age of 18) will be disqualified without notice.

GENERAL

22. The Major Prize winner is advised that tax implications may arise from his/her Major Prize winnings and they should seek independent financial advice prior to acceptance of the Major Prize.

23. All entrants agree to provide the Promoter or the Promoter’s authorised agent with proof of identity, residency, age and/or proof of entry validity if selected as the Prize winner or if reasonably requested by the Promoter or the Promoter’s authorised agent. Proof of age, identification, residency and entry considered suitable for verification is at the sole discretion of the Promoter. In the event that a Prize winner cannot provide suitable proof, that Prize winner will forfeit the Prize in whole and no substitute will be offered.

24. By entering the Competition, each entrant warrants that their entry is their own original work, and that they own all rights (including copyright) in their entry. Each entrant indemnifies the Promoter for any costs or loss incurred by the Promoter as a result of this warranty being false or incorrect.
25. No responsibility will be taken by the Promoter, The Weather Channel, FOXTEL, AUSTAR or Optus TV for any changes in dates, times or cancellations or other arrangements that may prevent the Prize winners from winning the Prizes.

26. The Promoter reserves the right, in its absolute discretion, to disqualify:

a) any entry which, in the opinion of the Promoter, includes any objectionable content, profanity or is potentially insulting, inflammatory or defamatory; or

b) any individual who tampers with the entry process, submits an entry that is not in accordance with these Terms and Conditions or who has in the opinion of the Promoter, engaged in unlawful or improper conduct that is designed to jeopardise the fair and proper conduct of the Competition or is generally damaging to the goodwill or reputation of the Promoter.

27. The Promoter reserves the right, in its absolute discretion, at any time before the awarding of the Prizes to cancel or vary the Competition or to vary or cancel the award of the Prizes including, without limitation, circumstances where in the Promoter’s opinion (which it shall form in its absolute discretion):

a) a Prize winner does not satisfy the Competition entry requirements; or

b) the Promoter cannot conduct the Competition or award the Prize/s for any reason beyond its control.

28. In the event that the Promoter cancels or varies the Competition or varies or withdraws the Prizes it shall not:

a) be liable to any person for any costs, loss or damage (including costs, loss or damage caused by any negligence) arising out of, or in connection with, such cancellation, variation or withdrawal; or

b) be required to conduct the Competition at any other time.

29. No responsibility will be accepted by the Promoter for late, lost or misdirected entries and all entries are deemed to be received at the time of receipt of the entry into the Promoter’s database and NOT time of transmission by the entrant. The Promoter accepts no responsibility for outdated or incorrect contact details or contact details by which the entrant cannot be contacted during business hours on the relevant dates.

30. A decision of the Promoter in relation to the conduct of the Competition is binding and conclusive and no correspondence will be entered into.

31. Entrants enter the Competition at their sole risk. With the exception of liability which cannot be excluded by law, the Promoter shall not be liable for any loss or damage which is suffered (including but not limited to indirect or consequential loss) or for personal injury suffered or sustained as a result of taking the Prizes or entering the Competition.

32. The Promoter collects entrants’ personal information (as that term is defined in the Privacy Act 1988 (Cth) for the purpose of conducting and promoting this Competition (including, but not limited to, determining and notifying winners). Entrants are advised that their personal information may be disclosed to State and Territory lottery departments and their names as the winner may be published as required under the relevant lottery legislation. Entrants are also advised that from time to time, the Promoter may disclose your personal information to third parties (including, but not limited to, third party prize providers) for the purpose of administering prizes or for other purposes contemplated in these Terms and Conditions.
