The trailers will be judged by the super qualified folks at MOVIE EXTRA, not only on creativity and their potential as a web series, but also on how they perform in an online environment.

Eyeballs matter, and the amount that see and engage with a trailer will be taken into account. Entrants are encouraged to engage with as many forms of social media in as many different ways to promote their entry online.

The winning web-series will have its world premiere online @ www.mnc.tv, then hit the big screen on MOVIE EXTRA in 2011.

Terms and Conditions
Information on how to enter the Competition is available on the Website and forms part of these Terms and Conditions. As a condition of participation and registration, the Participant accepts to be bound by these Terms and Conditions and any variations thereto. The Movie Network reserves the right to amend the Terms and Conditions from time to time and to implement additional rules, policies or procedures for the Competition which shall be binding on all Participants as of the date they are published on the Website. The competition is being conducted independently by The Movie Network using The Movie Network application on the Facebook platform. This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to Movie Extra Webfest and not to Facebook. The information you provide will only be used to verify your eligibility for the promotion and contact you if you are the winner. Facebook is not associated nor aligned with the content, administration or judging of the Movie Extra WebFest competition.

1. Definitions
a. 'Competition' is the Movie Extra WebFest competition, run by The Movie Network in accordance with these Terms and Conditions and other information provided to the Participants (including on the Website).
b. 'Competition Period' is the period commencing on 30 July 2010 and ending on 15 November 2010.
c. 'Finalist Participant' means any Participant whose Trailer is judged to be a finalist in the Competition and accordingly includes the Participant subsequently judged to be the Winner.
d. 'First Rights Period' is the period which commences on 30 July 2010 and expires on 30 July 2013.
e. 'Participant' is a person who participates in the Competition by submitting a Trailer that he or she produced for the purpose of the Competition.
f. 'Prize' means the prize awarded by The Movie Network to the Winner.
g. 'The Movie Network' is The Movie Network Channels Pty Ltd of Level 6, 39 Chandos Street, St Leonards NSW 2065, ABN 72 089 135 740.
h. 'Trailer' is the trailer for a Participant's Webseries, as entered by the Participant into the Competition, including submission information. The Trailer (excluding submission information) must be no longer than one minute (60 seconds) duration.
i. 'Webseries' is a Participant's scripted, narrative drama which must comprise seven episodes, each of which must be no longer than three (3) minutes' duration, and which is as described in / by the Trailer.
j. 'Website' is the Competition Facebook webpage, which is located at url www.facebook.com/movieextrawebfest and which is maintained and operated by The Movie Network.
k. 'Winner' means the Participant whose Trailer is judged to win the Competition. The Winner shall be entitled to the Prize.

2. Use of Information / data
a. By entering the Competition (and thereby accepting these Terms & Conditions), the Participant consents to The Movie Network collecting, retaining and using the information provided by the Participant as part of the submission process for the Participant's Trailer and (if applicable) Webseries for the purposes of promoting and marketing the Competition, The Movie Network and its business without any further reference, payment or other compensation to the Participant and including by sending the Participant electronic messages.
b. Any data collected by The Movie Network by reason of the Participant entering the Competition (or other means) will be owned and may be used by The Movie Network subject to applicable laws & regulations, and subject to these Terms and Conditions. Participant acknowledges that The Movie Network may share this information with other affiliated companies. The data will not be used in a manner which is inconsistent with The Movie Network's rules, regulations, ethos and values.
c. Should a Participant's contact details change during the Competition, it is the Participant's responsibility to notify The Movie Network.

3. Competition Entry Details
a. The Competition commences on the first date of the Competition Period at 00:01 (AEST) and closes on the last date of the Competition Period at 23:59 (AEST). The last date for submission of Trailers is 15 October 2010.
b. Entry is open to all permanent residents of Australia over the age of 18, who are not:-
1. employees of The Movie Network or its related companies, or The Movie Network's distributors, external auditors and subscription television service providers FOXTEL, AUSTAR, OPTUS Television, SELECTV, Neighborhood Cable, Telstra, Telstra Countrywide, or
2. members of the immediate family of such employees. "Immediate family" means spouse, defacto spouse, parent, natural or adopted child, and sibling (whether natural, or adopted by a parent), whether or not they live in the same household as the employee, (each an "Eligible Person").
c. The Competition is open to all Australian residents. International entries to the Competition will also be accepted; however any entries submitted by non-Australian Residents will not be eligible to win the Competition.
d. Entry is effected by Participants uploading their Trailers (including submission information) to the Website. Participants will be required to supply all the following details for their entry to be valid: full name, address, postcode, phone number and/or mobile number, Webseries synopsis, Webseries overview, episode breakdown, character breakdowns, key cast and crew biographies, and the curriculum vitae of the director and producer (who should be the Participant). In order to be deemed a valid Participant and be eligible to win the Competition, the Participant and the Trailer must meet the following criteria:-
a. The Trailer must be for a 7 part Webseries with 7 episodes no longer than 3 minutes each.
b. The submitted Trailer is a Trailer of the Webseries and must be no longer than 1 minute (60 seconds).
c. The Participant must have made the Trailer specifically for this Competition and the Trailer MUST NOT BE MADE AVAILABLE BY OR ON BEHALF OF THE PARTICIPANT TO, OR BE VIEWED BY, ANY MEMBER OF THE PUBLIC (this includes online viewing, but excludes viewing by contributors to the Trailer), before or after being submitted to this Competition. The Participant must also not have given or give permission for anyone else to use the Trailer in any way (including contributors to the Trailer). For the avoidance of doubt the Trailer cannot have been part of any other film-making or other competition, or have been broadcast or performed in any medium (other than privately by the Participant, on a confidential basis).
d. The Trailer must be uploaded to the Website with all requested submission information in the requested format, by the due date which is the date set out in clause 3(a) above. Video files must be supplied as 2mb, 16:9 ratio mov or avi format.
e. The Trailer is subject to approval by The Movie Network prior to being posted on the Website. The approval will be given within 48hrs ('approval period') after the Participant has uploaded their Trailer to the Website. The Participant will be notified of this approval by email during the approval period. Should the Trailer not be approved, the Participant will be notified by email during or after the approval period and will be afforded the opportunity to amend and re-submit the entry. Approval of a Trailer is at the absolute discretion of The Movie Network. Should a Trailer be refused entry into the Competition, such decision by The Movie Network is final and no correspondence will be entered into.
f. The Trailer must be scripted drama but otherwise can be any genre (e.g. drama, action, adventure, romance, comedy) or format (e.g. animation, stop motion, live action).
 The Movie Network reserves the right to refuse to allow the Winner to take part in any or all aspects of the Prize, if The Movie Network determines, in its absolute discretion, that the Winner is not in the mental or physical condition necessary to be able to safely participate in the Prize. It is a condition of accepting the Prize that the Winner sign any legal release or agreement confirming the provisions of these Terms and Conditions with regard to the Prize and/or the Webseries, in a form determined and provided by The Movie Network.

4. Intellectual Property and Other Rights in the Trailer
a. Each Participant warrants and confirms that he or she has the right to enter into this Competition and is the sole owner of all rights (including copyright) in and to the Trailer (including submission information). To the extent any third party obtained rights to the Trailer (by reason of his or her services, or otherwise), the Participant confirms that such third party has assigned all rights (including copyright) to the Participant. The rights (including the intellectual property rights) in the Trailer have not and will not be assigned, licensed or otherwise granted, in whole or in part, to any person other than The Movie Network in accordance with these Terms and Conditions.
b. The Participant warrants and confirms that the Participant has obtained permission from the owner of the copyright in any sound recordings, underlying musical works or other copyright material included by the Participant in the Trailer, to enter the Trailer in the Competition and permit further use and/or exploitation and/or development of the Trailer and, if applicable, the Webseries, without further reference or payment to such parties, in accordance with these Terms and Conditions and other information governing the Competition. All clearances shall be obtained for multi-format use throughout the world.
c. The Participant has obtained from each contributor to the Trailer and in respect of all copyright material embodied within the Trailer (including recordings and musical works) a written consent allowing the Participant and parties authorised by the Participant to do or omit to do anything which may infringe any and all moral rights of the contributor including to edit, alter and /or reproduce the work of the contributor and/or the copyright materials, in any manner or context, and such consents have been obtained to the full extent permitted under the Copyright Act 1968 (Cth) ('Moral Rights Consents'). The Participant hereby grants such waiver of rights to The Movie Network, and confirms the Participant's own waiver of all such rights.
d. The Participant confirms that The Movie Network may, and warrants that he/she has obtained authorization from all relevant third party contributors for The Movie Network to, use the Participant's and contributors' name(s) and likeness(es) in connection with any publicity relating to the Competition, The Movie Network and its business for the First Rights Period.
e. The Participant warrants and confirms that the use, publication and/or exploitation of the Trailer and, if applicable, Webseries as contemplated by these Terms and Conditions will not violate the rights (including the copyright) of any third party. The Participant warrants that the Trailer will not be criminally obscene or defamatory. For the avoidance of doubt, the Participant confirms that all residuals or other payments to contributors in connection with the Trailer have been paid together with the cost of all licenses of all copyright and film footage, musical works, lyrics, sounds recordings or other materials in which copyright subsists, owned by any third parties and which are used or adapted in the Trailer.

5. Use by The Movie Network of the Trailer
a. By entering into this Competition each Participant hereby assigns to The Movie Network all rights in and/or to the Trailer, together with all concept and character rights. Such rights are assigned to The Movie Network subject to (b) below. The Participant agrees to sign any documents provided by The Movie Network to the Participant, to confirm this assignment of rights.
b. The assignment of rights in the Trailer to The Movie Network shall, in respect of any non-Finalist Participants, be for the First Rights Period. In respect of all Finalist Participants, the period of assignment shall be for the First Rights Period, and subject to the remainder of these Terms and Conditions.
c. The non-Finalist Participants and Finalist Participants acknowledge that during the First Rights Period The Movie Network will be entitled to use & distribute the non-Finalist Participants' and Finalist Participants' Trailers in The Movie Network's sole discretion to promote or air the Trailer, in all forms of media known or unknown. The Movie Network shall have the right to license such use and distribution rights in the non-Finalist Participants' and Finalist Participants' Trailers to any third parties.
d. In respect of Finalist Participants, The Movie Network shall have the exclusive first right of refusal to develop the relevant Trailer into a longer format or secure interest from third parties in doing so, for the First Rights Period. If The Movie Network exercises this right it will procure the development production of the relevant Finalist Participant's Webseries from the Trailer, during the First Rights Period. If The Movie Network exercises its option to develop the Webseries, the provisions below regarding "Webseries" shall apply in respect of the Webseries subsequently developed.
e. If The Movie Network does not exercise its right to develop the Trailer, or if (despite The Movie Network exercising its right) no development proceeds during the First Rights Period, all rights in the Trailer, the concept and the characters will revert to the non-Finalist and Finalist Participant, at the end of the First Rights Period.
f. For the avoidance of doubt, all non-Finalist Participants have the right to seek further development of their Webseries (with / by third parties), and use and exploit their respective Webseries in their absolute discretion, following expiry of the First Rights Period.

6. Judging
a. All Trailers validly entered in the Competition will be judged during the Competition Period by The Movie Network. The Finalist Participants and (from such Finalist Participants) the Winner will be selected based on the following criteria:
i. The amount of votes each Trailer has on Facebook.
ii. The level of positive involvement/ interaction the Trailer has from the general public.
iii. The Trailer's creativity and potential as a Webseries as determined by The Movie Network.
b. This Competition is a game of skill, and chance will play no part in determining the Winner.
c. The Finalist Participants will be announced on 16 October 2010, and the Winner will be announced and notified by phone and/or email on 14 November 2010 or as determined by The Movie Network.
d. The Movie Network's decision in determining the Finalist Participants and the Winner is final and no correspondence will be entered into. The Movie Network will determine the Finalist Participants and the Winner and its determination shall be final.
e. There will be one (1) Winner in the Competition, who will receive the Prize.
f. The Prize is $50 000 AUD which is required to be spent by the Participant on the production of the Webseries developed from the Trailer. The Prize is subject to the following criteria:
i. Prize money of $50,000 cash will be given in its entirety to the Winner, to be used by the Winner to produce the 7 part Webseries. This must be used entirely on legitimate production costs and cover the entire production budget including post production (subject to (iii) below).
ii. No further funding can be provided to the Winner in respect of the development and production of the Webseries as it may jeopardize the license of copyright in the Webseries as per these Terms and Conditions.
iii. The Movie Network will make available free of charge 7 x 4hr sessions of audio post production facilities for the sound mix of the Webseries. The Movie Network facilities are based at Level 6, 39 Chandos St St Leonards, Sydney, NSW. It is the Winner's responsibility to fund any travel costs incurred by the Winner to make use of this element of the Prize.
g. In the event that for any reason whatsoever the Winner does not accept the Prize at the time stipulated by The Movie Network, then the Prize will be forfeited by the Winner.
h. The Movie Network reserves the right to announce or publish the Winner's name and/or photograph for publicity purposes.

7. Webseries
a. Final delivery of the Webseries will be via digital file delivery into The Movie Network server network.
b. The final Webseries as produced by the Winner must be delivered to The Movie Network by 28 January 2011 or as determined by The Movie Network.
c. Any content to be used within the The Movie Network editing environment must be delivered as files in the The Movie Network standard codec.
d. The Winner (and, where applicable, any Finalist Participant producing a Webseries) grants to The Movie Network an exclusive licence of all rights in and/or to the Webseries, in Australia for 3 (three) years commencing from the date the final Webseries is delivered to The Movie Network.] . The Movie Network will be entitled to use & distribute the Webseries in any way it sees fit, including to promote or air the Webseries in all forms of media known and unknown in Australia.
e. The Movie Network will own all rights to any additional content (including trailers, interstitials) created by The Movie Network in respect of the Webseries and any program (not being the Webseries) created by The Movie Network (in all forms of media known and unknown) throughout the world in perpetuity.
f. The Webseries must not be posted by or on behalf of the Participant on any website other than the Website (including social networking sites and private websites), nor shall the Participant otherwise use or broadcast or publicise the Webseries or authorise others to do so.
g. The Movie Network will act as Executive Producer on the Webseries and will appoint a supervisor to the Winner for the production of the Webseries.
h. The Winner (and, where applicable, Finalist Participants producing their Webseries) will enter a separate agreement with The Movie Network to create the Webseries. Any such agreement will reflect the key terms of these Terms and Conditions relating to the Webseries and will overrule these Terms and Conditions, but these Terms and Conditions shall apply and remain binding between the parties until such time that the new contract is entered into. The key terms of any new contract will include the following:-
i. the Winner must expend the Prize to produce the Webseries in accordance with its Trailer and with the assistance and direction of The Movie Network;
ii. The Movie Network will oversee the production of the Webseries;
iii. the Winner will be required to provide weekly update to the Website regarding the development and production of the Webseries;
iv. the Winner must deliver the Webseries to The Movie Network;
v. all rights to the Webseries will be licensed to The Movie Network for a three year period (or such other period as may be agreed between the parties).

8. Sponsorship
The Movie Network reserves the right to seek and enter into sponsorship arrangements with advertisers. Sponsorship arrangements may include sponsor identification on the Website, association with any publicity and promotion, sponsor messages preceding and following any Trailer submitted by a Participant, and product integration, if appropriate.

9. Running the Competition
a. If for any reason this Competition is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond the control of The Movie Network, which corrupt or affect the administration security, fairness or integrity or proper conduct of this Competition, The Movie Network reserves the right in its sole discretion to disqualify any individual who tampers with the entry process, take any action that may be available, and to cancel, terminate, modify or suspend the Competition.
b. Neither The Movie Network nor its associated companies is responsible, to the extent permitted by law, for acts of god, acts of terrorism or war (declared or undeclared), natural disasters or other events beyond their control which prevent awarding of the Prize in accordance with the Prize description, or subject to any applicable laws, for any decision to cancel, terminate, modify or suspend the Competition.
c. No responsibility will be taken by The Movie Network or its related corporations and associated agencies for lost or late entries due to technical issues or any other reason.
d. Anyone found tampering with the entry process, or damaging the integrity of the Competition will be excluded from the Competition. The decision to expel such persons and prevent them from participating in the Competition is at the complete discretion of The Movie Network and is final.

10. Liability
a. The Movie Network and its associated and affiliated companies, its staff, representatives and agents shall not be liable for any loss or damage whatsoever which is suffered (including but not limited to direct or consequential loss) or for any personal injury suffered or sustained in connection with any Competition entries (including the Trailers submitted), Prize/s and/or the Webseries (or any part of the same), except for any liability which cannot be excluded by law.
b. The Participant indemnifies The Movie Network from and against any and all claims and demands made against The Movie Network, its assignees and licensees, staff, representatives and agents in relation to the warranties and agreements by the Participant contained in these Terms and Conditions.

Competition Requirements
. Create a 60 second (max) Trailer for your web-series idea
. Submit your Trailer on the WebFest Facebook fan page complete with
- Web-series synopsis (200 words)
- Episode Breakdown (200 words per ep)
- Character Breakdowns (200 words per character)
- Key Cast & Crew Bios (One page)
- Curriculum Vitae of Producer & Director (One page)

Once you have uploaded your Trailer and entry detail, the submission will be assessed
by the folk at MOVIE EXTRA and once approved, will be posted on the competition
site. It’s up to you now to persuade as many people as possible to view your Trailer
and vote. The more people who watch your Trailer, the better chance you have of
winning, so tap into your social network and encourage their votes!
The winner will be decided by a combination of the number of votes and the
MOVIE EXTRA judges, who will assess your work not only on creativity but also how the
trailer performs online.
The winner will be announced on November 15th, 2010, and will receive $50,000 cash
to create a 7 part web-series with the help of MOVIE EXTRA who will come on board
as Executive Producers.
