Adobe® Creative Suite ® 5 Design Premium and Adobe® Photoshop® Lightroom 3 Promotion (CHANNEL)
1.Promotion

a.This Adobe® Creative Suite® 5 Design Premium and Adobe® Photoshop® Lightroom 3 ("Lightroom") Promotion ("Promotion") is sponsored by Adobe Systems Software Ireland Limited, a company incorporated in Ireland and having a place of business at 4-6 River Walk, Citywest Business Campus, Saggart, Dublin, 24, Ireland ("Promoter").

b.This promotion is available through Channel Entities (defined below) and through the Adobe Australia Store and the Adobe New Zealand Store. These Terms and Conditions apply only to the promotion available through Channel Entities. Please visit the respective Adobe online stores for more information on the promotion available through the Adobe online stores.


2.Entry and Eligibility

a.This Promotion is open to all legal residents of the following countries ("Eligible Territories"): Singapore, Malaysia, Thailand, Indonesia, Philippines, Vietnam, Australia, New Zealand, Korea, People's Republic of China (including Hong Kong and Macau), Taiwan, India, Sri Lanka, Bangladesh, Bhutan, Nepal and Pakistan ("Participant(s)").

b.Participants must be aged 18 or older as of the date of submission to be eligible.

c.By participating in the Promotion, Participants accept that these Terms and Conditions create a legally-binding agreement between the Promoter and the Participant. This Promotion is not valid in conjunction with any other promotion or offer.


3.Complimentary Adobe Photoshop Lightroom 3 with purchases of Eligible Adobe Creative Suite 5 Design Premium Products

a.For every copy of Eligible Design Premium Products purchased by Participants from Adobe Authorised Distributors and/or their dealers in the Eligible Territories (collectively, "Channel Entities") during the Promotion Period, Participants will be eligible to receive a free copy of Lightroom, as detailed in these Terms and Conditions. Participants must purchase Eligible Design Premium Products in the Eligible Territory which they are resident in. Participants must purchase the Eligible Design Premium Products for their own use only, and not for further distribution or resale.

b."Eligible Design Premium Products" refer to the following only:

Product Description Adobe Creative Suite 5 Design Premium (Commercial) - Full License
Adobe Creative Suite 5 Design Premium (Commercial) - Upgrades from Previous Versions of Design Premium 
Product/License Type Retail box ("Retail Box")
Adobe Transactional Licensing Plan ("TLP") Level 1) 

c.The applicable "Promotion Periods" and "Claim Period", and the applicable process for delivery of the complimentary copy of Lightroom, are as follows:

Eligible Design Premium Products Promotion Period* Delivery of complimentary Lightroom 
Retail Box 6 December 2010 to 11 February 2011 Participants must submit claim for complimentary Lightroom during the following Claim Period*, in accordance with the claims process detailed in these Terms and Conditions:
6 December 2010 to 25 February 2011.
Claims received after the Claim Period will not be accepted, and Participant will not be eligible to receive the complimentary copy of Lightroom.
Upon validation and approval of the Participant's claim, the Participant will be provided with an ESD link to the complimentary copy of Lightroom. 
TLP Level 1 6 December 2010 to 17 February 2011 The complimentary copy of Lightroom will automatically be made available to the Participant via an ESD link, together with the delivery of the Eligible Design Premium Product.

*Dates stated are in accordance with the local times in each of the Eligible Territories.

4.Claims Process for Participants purchasing Retail Boxes

a.Participants who purchase Retail Boxes of Eligible Design Premium Products must submit a claim for the complimentary Lightroom product within the Claim Period. The process for submitting claims is as follows:

Step 1. Participants will be required to have an Adobe ID in order to process the claim. If the Participant does not have an Adobe ID, he/she will be required to create one. The creation of an Adobe ID is free through http://www.adobe.com.
Step 2. Participants should complete and submit the official online claim form at one of the following websites:

(i) www.adobe.com/go/dplr_ap (for English)
(ii) www.adobe.com/go/dplr_cn (for Simplified Chinese)
(iii) www.adobe.com/go/dplr_tw (for Traditional Chinese)
(iv) www.adobe.com/go/dplr_kr (for Korean)
Each claim must include the following:

(i) scanned copy of Participant's receipt, clearly showing product purchased and date of purchase; and
(ii) the product serial number of the Eligible Design Premium Product purchased.
 
Step 3. If Participants are unable to upload scanned copy of Participant's receipts and serial number from the Product's packaging, Participant may email the required information to Promoter in accordance with the following:
(i) Make a note in the online submission that they are unable to submit an online copy of the invoice.
(ii) Attach the confirmation email, the scanned file(s) of the Participant's receipt(s), and the product serial number from the Product's packaging, and forward the email to dplrprom@adobe.com with the subject heading, "Adobe Design Premium and Lightroom Promotion".
 
Step 4. After undertaking the process as detailed above, Participants will receive a confirmation pop-up screen and also an email which will be sent to Participant's nominated email address to confirm receipt, with a unique claim number, of participant's claim.
Step 5. The Promoter reserves the right to verify all Claims. Participants may be required to provide proof of identity, age and place of residence. Identification considered suitable for verification is at the discretion of the Promoter. The decision of the Promoter is final and no correspondence will be entered into.
Step 6. Upon validation and approval of the claim, Participant will receive a trial copy of Lightroom via an ESD link, which will be sent to the email address provided by Participant. Within two weeks after that, Participant will be issued a license key which may be used to convert the trial license to a full license.

b.Claims will be deemed to be received at the actual time of receipt by the Promoter and not at the time of transmission.

c.Multiple claims are permitted, subject to the following: (a) only one claim permitted per Eligible Design Premium Product purchased; and (b) each claim must be submitted separately and in accordance with these Terms and Conditions.

d.Failure to complete each of the above steps or to provide the required information will cause the claim to be ineligible. Incomplete, indecipherable or illegible claims will be deemed invalid. No responsibility will be taken for lost, late or misdirected claims.

e.In the event of a dispute regarding the identity of the party who submitted the online claim form, the response will be deemed to be submitted by the authorised account holder of the email account provided on the claim form.

f.Participants will be responsible for all costs, if any, relating to the submission of their claim.

g.The Promoter reserves the right to disqualify any Participant who submits a claim that is not in accordance with these Terms and Conditions or who tampers with the claim process.

5.General

a.The Eligible Design Premium Product purchased through this Promotion, and the complimentary Lightoom product, will both be registered in the name of the Participant. The Lightroom product received by Participants under this Promotion is not transferable, exchangeable or redeemable for cash.

b.This Promotion is available while stocks last. Promoter reserves the right to substitute the Lightroom product with another product of similar value or functionality, at its sole discretion. If the Promotion cannot, for any reason, be conducted as anticipated, the Promoter reserves the right in its sole discretion, to the fullest extent permitted by law, to modify, suspend, or cancel the Promotion.

c.Channel Entities and the Promoter's contractors involved in the Promotion are independent parties, and are not agents of the Promoter. For Eligible Design Premium Products obtained through Channel Entities, prices for each customer are determined by the Channel Entities, and Adobe does not guarantee that any customer will receive any particular price.

d.Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

e.To the extent permitted by law, the Promoter (including its officers, employees and agents) is not liable for any loss or damage whatsoever (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of the Promotion, including, without limitation where arising out of the following: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter's control); (b) any theft, unauthorised access or third party interference; (c) any claim or Lightroom product that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any tax liability incurred by a Participant; (e) injury or damage to Participants or any other person's computer related to or resulting from participation in or downloading any materials in this Promotion; or (f) due to circumstances outside the Promoter's and its associated agencies reasonable control.

f.The Promoter collects personal information in order to conduct the Promotion and may disclose such information to third parties for this purpose including, without limitation, to suppliers and as required, to the relevant regulatory authorities of the Eligible Territories. If the information requested is not provided, the individual may not participate in the Promotion. To the extent permitted by law, the Promoter may use the information provided for promotional, marketing and publicity purposes including sending electronic messages or telephoning the entrant. A copy of the Promoter's Privacy Policy in relation to the treatment of personal information may be obtained by contacting Adobe's Privacy Officer by email at chouse@adobe.com or from http://www.adobe.com.

h.These Terms and Conditions are in the English language only. If any courtesy translation(s) of these Terms and Conditions is made available to Participant, the English language version will prevail in all respects, and such courtesy translation will not be binding and will have no effect. Without limiting the foregoing, if there is any conflict or inconsistency between the English language version of these Terms and Conditions and any courtesy translation, the English language version and interpretation will prevail.

i.These Terms and Conditions constitute the entire agreement between the parties regarding the matters set out in it.

j.Participants will do such acts and sign, or cause to be signed, such instruments that the Promoter may reasonably request for the purposes of these Terms and Conditions.

k.If Participant is a consumer who uses the applicable Adobe software for only personal non-business purposes, then these Terms and Conditions will be governed by the laws of the state in which Participant purchased the license to use the software. If Participant is not such a consumer, this agreement will be governed by and construed in accordance with the substantive laws in force in: (a) Singapore, if a license to the Software is obtained when Participant is in a member state of the Association of Southeast Asian Nations, the People's Republic of China (including Hong Kong S.A.R. and Macau S.A.R.), Taiwan or the Republic of Korea; or (b) England, if a license to the Software is obtained when Participant is in any jurisdiction not described above. The competent courts of London, England, when the law of England applies, shall have non-exclusive jurisdiction over all disputes relating to this agreement. When Singapore law applies, any dispute arising out of or in connection with this agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC") for the time being in force, which rules are deemed to be incorporated by reference in this section. There shall be one arbitrator, selected jointly by the parties. If the arbitrator is not selected within thirty (30) days of the written demand by a party to submit to arbitration, the Chairman of the SIAC shall make the selection. The language of the arbitration shall be English. Notwithstanding any provision in this agreement, Adobe or Participant may request any judicial, administrative, or other authority in any other jurisdiction to order any provisional or conservatory measure, including injunctive relief, specific performance, or other equitable relief, prior to the institution of legal or arbitration proceedings, or during the proceedings, for the preservation of its rights and interests or to enforce specific terms that are suitable for provisional remedies. This agreement will not be governed by the conflict of law rules of any jurisdiction or the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
