TERMS AND CONDITIONS
1. Information on how to enter and prizes form part of these Terms and Conditions. Participation in this promotion is deemed acceptance of these Terms and Conditions.
2. The promoter of this Competition is The Walt Disney Company (Australia) Pty Limited, Level 5, 650 Chapel St, South Yarra VIC 3141, Australia, ABN 30 054 610 025 (“Disney”). Disney may contract the services of Salmat or such other agency as Disney may determine in Disney’s discretion (“Agency”) to administer certain parts of this Competition.
3. The “Iron Man 3 Suit Up” 3D promotion commences online via
www.ironman3.com.au on Thursday 18/04/2013 and closes 11:59pm AEST on Wednesday 01/05/2013 (“Promotional Period”). Competition entry is as follows:
a) Eight (
Suits will be published within the Game. You may search for each Suit throughout the Game and/or look for clues to the locations of each Suit.
b) A clue to the location of Hoyts Suit MK33 will be published on Hoyts Australia Facebook Page on Thursday 18th April, 2013.
c) Hoyts Suit MK 33 has a set of four (4) corresponding Powercells that become available via purchasing tickets to ‘Iron Man 3 3D’ at
www.hoyts.com.au. Post ticket purchase users will receive an EDM (electronic direct mail) containing the four (4) Powercell location clues.
d) In order for a Suit or set of Powercell Buttons you have located, to be considered an entry you must be logged into the Game using your Website account credentials. If you locate a Suit or set of Power-Up Buttons but are not logged in and do not log in once prompted, then that Suit or set of Power-Up Buttons will not count as an Entry into the Competition.
4. Users who purchase a ticket to ‘Iron Man 3’ at Hoyts must register to receive an electronic direct email containing four (4) Powercell clue locations via
www.Hoyts.com.au. Participants are subject to the following: (a) only one electronic email containing four (4) Powercell locations per transaction, (b) entry must be via
www.hoyts.com.au Iron Man 3 Registration page; and (c) entry must be submitted in accordance with entry requirements. To register with Hoyts to receive four (4) Iron Man 3 ‘Powercell’ locations, entrants must be a member of either Hoyts Insider or Hoyts Rewards member programs. Non-members can sign up to either the Hoyts Insider or Hoyts Rewards during the promotional period and complete the same entry process as outlined above.
5. Members registering to receive Hoyts Powercell clue locations, under 18 years old must have parental/guardian approval to enter and further, the parent/guardian of the entrant must read and consent to all terms and conditions. Parents/guardians may be required by the Promoter to enter into a further agreement as evidence of consent to this Promotion.
6. All entries to win “Iron Man 3 Suit Up” promotional prizes will be managed and drawn by Walt Disney and Marvel via
http://www.ironman3.com.au/. Hoyts are excluded in the drawing of winning entries. All entry enquiries must be directed to Walt Disney and Marvel. Hoyts will not be held liable or associated for any lost or incorrect entries.
7. To be eligible to enter the Competition:
a) you must be a permanent resident of Australia or New Zealand aged 18 years or older;
b) neither you nor anyone in your immediate family (including your parents/guardian, brothers and sisters), can be an employee of The Walt Disney Company (Australia) Pty Ltd or the Agency, affiliated with Disney or the Agency or connected to the Competition in any way.
Disney may disqualify you if:
a) your Entry does not comply with any of the above requirements;
b) your Entry includes any objectionable material or infringes the rights (including intellectual property rights) of any third party;
c) you are in breach of these Terms and Conditions; or
d) you have tampered in any way with the operation of the Competition.
e) Your Entry must be complete, in English and legible.
f) If for any reason this Competition is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures, unforeseen legal or commercial circumstances or any other causes beyond the control of Disney which corrupt or affect the administration security, fairness, integrity, or proper conduct of this Competition, Disney reserves the right in its sole discretion, to cancel, terminate, modify, delay or suspend the Competition.
8. Liability and Indemnity.
a) Disney is not liable, and you release Disney from liability, for any loss or damage that you may suffer from your participation in the Competition, including (without limitation) if:
i. The Competition is cancelled, modified, suspended or delayed: or
ii. Disney does not receive your Entry within the Competition Period for any reason.
b) The Competition and Consumer Act 2010 (Cth) as well as other laws in Australia may imply certain conditions, warranties and undertakings, and give you other legal rights. If they apply, they cannot be modified or excluded by any contract. You may consider seeking legal advice as to whether they apply to you.
c) Nothing in these Terms and Conditions generally affects your rights under Australian consumer law (as contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth) and equivalent State and Territory fair trading legislation) regarding consumer guarantees to the extent that such consumer guarantees cannot be excluded by law. Other than these consumer guarantees, and subject to paragraph 8b), Disney makes no warranties about any prizes offered as a part of the Competition, including warranties as to the quality, merchantability or fitness for purpose of such prizes.
d) You agree to indemnify Disney against all liabilities suffered or sustained by Disney arising from any claim by a third party that your Entry infringes the rights (including intellectual property rights) of any third party.
e) All entrants unconditionally and irrevocably release and discharge Facebook from any and all liability in relation to this Competition.
9. Any cost associated with accessing the promotional website is the entrant’s responsibility and is dependent on the Internet service provider used.
10. Except for any liability that cannot be excluded by law, the Promoter (including its officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the promotion, including, but not limited to, where arising out of the following: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter’s control); (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by a winner or entrant; or (f) use of the prize.
11. The Promoter collects personal information in order to conduct the promotion and may, for this purpose, disclose such information to third parties, including but not limited to agents, contractors, service providers, prize suppliers and as required, to regulatory authorities. Entry is conditional on providing this information. Entrants should direct any request to access, update or correct information to the Promoter. All entries become the property of the Promoter.
12. Overview of Iron Man 3 Suit Up Competition.
a) To enter the Iron Man 3 ‘Suit Up’ Competition, you must be a member of the Marvel Australia and New Zealand website located at
www.ironman3.com.au . Membership of the Website is free (excluding normal internet connection charges) and open to both Australian and New Zealand residents. You are only permitted to create one (1) account on the Website.
b) To enter the Competition, during the Competition Period, click through to the Iron Man 3 ‘Suit Up’ Game,log into the Game using your Website account details and locate a Suits and Powercell Buttons as follows:
i. There are eight (
‘Iron Man suits’ (each a “Suit”) that may be located in the Game. Each Suit located will count as one (1) entry into Contest #1.
ii. Location of a Suit will also result in a set of five (5) individual icons (each set being a set of “Powercell Buttons”). Each set of Powercell Buttons located found will count as an entry into either Contest #2; Contest #3; Contest #4; Contest #5; Contest #6, Contest #7, Contest #8 or Contest #9.
iii. Location of the MK40 - ʺSHOTGUNʺ (Hyper Velocity) Power-Up Buttons; MK15 - ʺSNEAKYʺ (Stealth Suit) Power-Up Buttons; MK38 - ʺIGORʺ (Heavy Lifting suit) Power-Up Buttons; MK39 - ʺGEMINIʺ (Sub Orbital Suit) Power-Up Buttons; MK17 - ʺHEARTBREAKERʺ (Artillery Level RT Suit) Power-Up Buttons, MK35 - ʺRED SNAPPERʺ (Disaster Rescue Suit) Power-Up Buttons and/or MK27 - ʺDISCOʺ (Chameleon Suit) Power-Up Buttons will also provide a bonus ten (10) entries into Contest #1, (collectively, each an “Entry”).
c) For the avoidance of doubt:
i. an entrant’s location of each Suit and each set of Power-Up Buttons will only be valid for Competition entry on the first such instance of location;
ii. each set of Powercell Buttons will only be made available to the entrant to find once the corresponding Suit has been found by that entrant; and
iii. The five (5) individual icons that make up each set of Powercell Buttons will not be found together.
d) The Competition opens at midday (AEST) on 18 April 2013 and closes at midday (AEST) on 28 May 2013 (the “Competition Period”).
e) By clicking the “I Accept” button and ticking the box on the Competition page on the Website when completing your first Entry, you are stating that you agree to be bound by these Terms and Conditions.
f) It is important that you read and understand these Terms and Conditions, particularly paragraphs about Disney’s legal responsibility to you such as paragraph Error! Reference source not found.. If you do not understand these Terms and Conditions, you should seek help to understand them.
g) Entry into the Competition is free (except for any normal Internet access fees that may apply).
13. Prizing: There are nine (9) Contests in the Competition and a total of seventy-seven (77) prizes to be won (each a “Prize”).

Each Entry made through locating a Suit during the Competition Period will place the entrant in the draw for Contest #1. At the end of the Competition Period, fourteen (14) winners will be drawn at random from Contest #1, winning prizes as specified below.
Grand Prize

The Grand Prize and individual elements of it are subject to availability and peak time restrictions, and must be taken within twelve (12) months of the winner being notified that they have won the Grand Prize.
Major Prize 1 The next two (2) drawn winners will each win the “Contest #1 Major Prize #1”, consisting of one (1) TCL 46 inch Smart 3D television with ultra-slim bezel (model number L46V7300F3DE), plus one (1) limited edition medium Iron Man 3 t-shirt.

a) The total value for all Prizes is AU$24,108.50
b) The Prize values are based upon the recommended retail prices at the time of printing (inclusive of GST). Neither Disney nor the Agency accept any responsibility for a change in the value of any Prize between now and the ultimate Prize redemption date (subject to State Regulation).
c) If you are a Prize winner:
i. You may not transfer the Prize to anyone or ask for an alternative prize (including cash). Disney may replace a Prize with a prize of equal value in the unlikely event that a Prize becomes unavailable (subject to State Regulation).
ii. Once a Prize has left Disney’s premises, Disney will not be responsible for any damage, delay or loss to any Prize during transit.
iii. Disney may ask you to provide proof of your age, identity and residency, and to sign any required documentation before claiming any Prize, including evidence supporting your compliance with these Terms and Conditions.
iv. Award of any Prize is conditional upon you (and in relation to the Grand Prize, any guest accompanying you on the Grand Prize) agreeing to and signing a legal release in a form determined by us in Disney’s absolute discretion.
v. If you are unable to claim or collect the Prize whatever reason, or cannot claim it at the time or under the conditions stipulated by Disney, then Disney may award the Prize to someone else (subject to State Regulation and these Terms and Conditions).
d) If you are the Grand Prize Winner:
i. To be entitled to the Grand Prize, you and those traveling with you must, at the very least:
A. Obtain valid visas for travel to Hong Kong (if required);
B. Provide us with proof of successful visa applications prior to departure if requested; and
C. Have passports that are valid for six months or more from departure.
ii. Except as set out above, you are responsible for all expenses and taxes connected to your participation in and acceptance of the Grand Prize, including meals (unless specified), drinks, transfers (unless specified), laundry charges, activities (unless specified), incidentals, taxes (excluding departure and any other flight associated taxes), energy surcharges, gratuities, services charges, passports, visas, travel insurance and all other ancillary costs.
Travel insurance is highly recommended to protect against the additional costs incurred in the event of unforeseen circumstances. The Grand Prize does not include any travel insurance. It is the responsibility of the Grand Prize Winner to purchase travel insurance.
iii. You and your travelling companion must travel at the same time, must depart from the same capital city, and are responsible for transport from your residence to your nearest Australian / NZ capital city for flight departure.
i. Air tickets are available on the regular scheduled services of each airline and are subject to seasonal embargos. Flight itinerary may have to be adjusted depending on the airlines departure city and their current flight schedule.
iv. A credit card imprint or cash deposit may be required to check-in to the hotel, for all incidental charges. Once accommodation vouchers are issued they are non-changeable.
v. It is your and your guest’s responsibility to ensure that you have valid documentation, including but not limited to valid passports and visas, which meet the requirements of immigration and other government authorities at every destination. Any fines, penalties, payments or expenditures incurred as a result of such documents not meeting the requirements of those authorities will be the sole responsibility of you and your guest.
vi. Neither Disney nor the Agency make any representation as to the safety, conditions or other issues that may exist at any destination. International travel advice can be obtained from various sources, including government, local consular offices and the web site of the Australian Department of Foreign Affairs and Trade.
e) Disney reserves the right to refuse to allow a winner to take part in any or all aspects of a Prize if Disney determine, in Disney’s absolute discretion, that a winner is not in the mental or physical condition necessary to be able to safely participate in the Prize.
Disney may film you during the presentation of the Prize.
14. Severability. Any provision (or part thereof) of these Terms and Conditions that is prohibited or unenforceable in any jurisdiction is ineffective as to that jurisdiction to the extent of the prohibition or unenforceability. That does not invalidate the remaining provisions (or parts thereof) of these Terms and Conditions nor affect the validity or enforceability of that provision (or part thereof) in any other jurisdiction.
15. Entire Agreement. These Terms and Conditions contain the entire agreement between you and Disney with respect to the Competition. They set out the only conduct that you have relied on and supersede all earlier conduct and prior agreements and understandings between you and Disney in connection with the Competition.
16. Governing law. These Terms and Conditions are governed by the laws of Australia. You submit to the non-exclusive jurisdiction of courts exercising jurisdiction there, and waive any right to claim that those courts are an inconvenient forum.
17. Disney Intellectual Property
a) Unless expressly stated in these Terms and Conditions, your participation in the Competition does not entitle you to use any of Disney's intellectual property rights (including any Disney trade mark or copyright) for any purpose.
b) You may not disclose your Entry to anyone other than Disney. You may only use your Entry to participate in the Competition. You may keep any copy of your Entry for your personal records.
18. Privacy.
a) Disney will collect your personal information (such as your name and biographical data) as part of the Competition and may use this information anywhere in the world for the purposes of administering the Competition, and other purposes for which Disney obtain your express consent. Where you have expressly consented, your personal information may be provided to Disney affiliates, including overseas affiliates for future promotional, marketing and publicity purposes without notice and without any fee being paid unless otherwise advised by you.
b) Disney will comply with its privacy policy in the collection and use of your personal information. Disney's privacy policy is available at

19. Ownership.
a) Disney will own your Entry and will not return your Entry at the end of the Competition. You may keep a copy of the Entry for archiving purposes.
b) You agree that all of the rights (including intellectual property rights) in your Entry, including any copyright works in your Entry, belong to Disney and you hereby assign any rights you may have to Disney. This includes all copyright (present or future), other intellectual property rights and rights of ownership. You grant a perpetual worldwide license (including a right to sub-license) to Disney of all rights in your Entry pending completion of this assignment.
c) You agree to do all things necessary (which may include signing documents) to transfer these rights to Disney.
d) You consent to Disney doing or omitting to do anything that infringes your moral rights in your Entry. Moral rights are your inherent rights in your Entry as the author and/or performer in the Entry and comprise the right:
I. To be attributed as the author of the Entry;
II. Not to have your authorship of the Entry falsely attributed; and
III. Of integrity of authorship and/or performance.
20. Winner selection and notification.
a) All winners will be drawn at random at midday AEST on Friday 31st May 2013. The draw will take place at Salmat Digital Pty Ltd, Level 2, 116 Miller St, North Sydney NSW 2060. The winners will be notified by email and phone of their Prize within two (2) business days of the relevant draw. The names of all winners of prizes valued over AUD$250 will be published in the The Australian Newspaper on Friday 7th June 2013 and also published on the Website at the conclusion of the Competition Period.
b) All reasonable attempts will be made to contact the Contest#3 Prize winner. The Prize must be claimed by 9:00 AEST on Friday 21st June 2013. If the Prize is not claimed by this time, the Agency will (subject to State Regulation) conduct an unclaimed prize draw at 10:00 AEST on Friday 21st June. All Contest #3 entrants will be eligible for the unclaimed Prize draw. The winner will be notified by email and phone and have their details published in The Australian Newspaper on Wednesday 26th June 2013.
c) All reasonable attempts will be made to contact Prize winners. All Prizes must be claimed by 9:00 AEST on Friday 6th September 2013 . If a Prize is not claimed by this time, the Agency will (subject to State Regulation) conduct an unclaimed prize draw at 10:00 AEST on Friday 6th September 2013for such Prizes together with any unawarded Prizes from the Contests. All entrants will be eligible for the unclaimed Prize draw. Any winners will be notified by email and phone. The winners of prizes valued over AUD$250 will have their details published in The Australian Newspaper on Friday 13th September2013.
d) Should any entrant’s contact details change during the Competition Period, it is the entrant’s responsibility to notify the Promoter.
