Promotional Period
1.
Entries open at 10:00amAEST/AEDST on 17.07.13 and close at 4:59pmAEST/AEDST on 07.08.13 (“Entry Period”). Voting commences at 10:00amAEST/AEDST on 17.07.13 and ends at 4:59pm AEST/AEDST on 14.08.13 (“Voting Period”).


Entry Instructions
2.
Entry is only open to residents of Australia aged 18 years or over. Individuals must have a Facebook account in order to access the promotional page and submit an entry.


3.
Employees (and their immediate families) of the Promoter and agencies associated with this promotion are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.

4.
To enter, individuals must complete the following steps during the Entry Period:
a.visit the AirAsia Australia Facebook Page at www.facebook.com/AirAsiaAustralia (“Facebook Page”);
b.become a fan of the Facebook Page by clicking the ‘like’ button (if not an existing fan of the Facebook Page);
c.follow the prompts to the Sleepface Application;
d.input the requested details (including their full name, telephone number, and a valid email address);
e.upload a photograph of themselves and/or a friend/family member with a ‘sleepface’ (i.e. a original and entertaining expression on their face while sleeping or when they have first woken up);
f.read and consent to the Terms and Conditions by ticking the relevant tick box; and
g.submit the fully completed entry form so it is received 4:59pmAEST/AEDST on 07.08.13

Each entrant warrants to the Promoter that each photograph submitted is an original creative work of the entrant that does not infringe on the rights of any third party. If a photograph features a friend/family member, the entrant must ensure that they have permission of their friend/family member to upload the photograph. Each photograph must comply with the provisions contained in clause 26.

Uploaded files must be submitted in .JPG, .jpg, .PNG, .GIF or .TIFF format and must not exceed 15 MB file size.

5.
Upon completion of the above steps, subject to verification by the Promoter, individuals will then have their photograph uploaded onto the Facebook Page for public voting
. All photographs will be reviewed by the Promoter for compliance with these Terms and Conditions. Photographs that contain prohibited or inappropriate content, or are otherwise in breach of these Terms and Conditions, as determined by the Promoter, will at the discretion of the Promoter be removed from the Facebook Page. In addition, any entrant that submits such a photograph will not be eligible to win.

6.
Incomplete or indecipherable entries will be deemed invalid.

7.
Multiple entries permitted, subject to the following: (a) each entry must be substantially unique; and (b) each entry must be submitted separately and in accordance with entry requirements


8.
The Promoter reserves the right, at any time, to verify the validity of entries and entrants (including an entrant’s identity, age and place of residence) and to disqualify any entrant who submits an entry that is not in accordance with these Terms and Conditions or who tampers with the entry process. Errors and omissions will be accepted at the Promoter's discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.


Entry Instructions

Voting is only open to residents of Australia aged 13 years or over. Individuals must have a Facebook account in order to access the promotional page and cast a vote.

10.
To vote, individuals must complete the following steps during the Voting Period:
1.
visit the Facebook Page;

2.
become a fan of the Facebook Page by clicking the ‘like’ button (if not an existing fan of the Facebook Page);

3.
follow the prompts to the Voting Gallery contained on the Sleepface Application; and

4.
click the “Vote” button corresponding to the photograph they determine to be the most original, humorous, and creative.


11.
No prize will be awarded for the act of voting.


12.
The Promoter reserves the right, at any time, to verify the validity of votes and voters (including a voter’s identity, age and place of residence) and to disqualify any voter who submits a vote that is not in accordance with these Terms and Conditions or who tampers with the voting process. Errors and omissions will be accepted at the Promoter's discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

13.
The Promoter reserves the right, at any time: (a) to invalidate any votes which it reasonably suspects have been submitted using false, incorrect, fraudulent or misleading information, including but not limited to personal details and contact information and/or votes that have been submitted through the use of multiple identities, email addresses or accounts, including but not limited to social networking accounts; and/or (b) to disqualify any entrant (or invalidate his/her entry) that the Promoter reasonably suspects has paid, bartered or offered payment or other consideration to another person in exchange for votes or has otherwise encouraged or procured any person to submit votes contrary to these Terms and Conditions.

14.
Multiple votes permitted, subject to the following: (a) only one (1) vote per photograph per person is allowed; and (b) each vote must be submitted separately and in accordance with the voting instructions. For the sake of clarity, individuals may vote for multiple photographs, however, they can only vote for each photograph once
.


Determination of the Winner
15.
This is a game of skill and chance plays no part in determining the winner. The valid entry with the highest number of valid votes at the end of the Voting Period will be the winner
.

16.
In the event of a tie for the highest number of votes between two (2) or more entries, the Promoter will judge each of these tied entries against eachother, and the Promoter will select which tied entry will be deemed the winner. Each tied-entry will be judged based on the originality, humour, and creative merit of the photograph submitted.

17.
Subject to clause 16, the valid entry that received the highest number of valid votes at the end of the Voting Period will win two (2) AirAsia ‘Premium Flatbed’ tickets to Kuala Lumpur, Malaysia, valued at up to AU$4,876, depending on date and point of departure.


18.
Prize is subject to the AirAsia X Terms and Conditions of Carriage and the standard terms and conditions of any third party prize and service providers. Prize must be taken within six (6) months of date of issue (outgoing and return flights must be completed within this period) and is subject to booking and flight availability. AirAsia X will not entertain any request to extend the validity period. Bookings cannot be made on flights during weekends, eve of public holidays, public holidays and other embargo periods. Changes to the flight destinations are not permitted unless agreed upon by AirAsia X. The prize DOES NOT include any airport taxes and fees that may be payable and such taxes/fees will be the responsibility of the winner. Compliance with any health or other government requirements is the responsibility of the prize-winner and his/her companion. There can be no changes (name of traveller, travel date, etc) made to travel arrangements once bookings are made. All bookings must be made directly to AirAsia X via the contact person provided. Bookings cannot be made via a third party. AirAsia X reserves the right to amend the Terms and Conditions of Carriage at any time without prior notice.

The winner will be notified by email.


General
20.
Information on how to enter and the prize form part of these Terms and Conditions. Participation in this promotion is deemed acceptance of these Terms and Conditions.

21.
If there is a dispute as to the identity of an entrant/voter, the Promoter reserves the right, in its sole discretion, to determine the identity of the entrant/voter.

22.
The Promoter’s decision is final and no correspondence will be entered into.

23.
If for any reason the winner does not take the prize by the time stipulated by the Promoter, then the prize will be forfeited.

24.
If the prize is unavailable, the Promoter, in its discretion, reserves the right to substitute the prize with a prize to the equal value and/or specification.

25.
The prize is not transferable or exchangeable and cannot be taken as cash.

26.
When an entrant submits any materials via the promotion including photographs (“Content”), the entrant, unless the Promoter advises otherwise, licenses and grants the Promoter, its affiliates and sub-licensees a non-exclusive, royalty-free, perpetual, worldwide, irrevocable, and sub-licensable right to use, reproduce, modify, adapt, publish and display such Content for any purpose in any media, without compensation, restriction on use, attribution or liability. Entrants agree not to assert any moral rights in relation to such use and warrant that they have the full authority to grant these rights.

Entrants agree that they are fully responsible for the Content they submit. The Promoter shall not be liable in any way for such Content to the full extent permitted by law. The Promoter may remove any Content without notice for any reason whatsoever. Entrants warrant and agree that: (a) they will not submit any Content that is unlawful or fraudulent, or that the Promoter may deem in breach of any intellectual property, privacy, publicity or other rights, defamatory, obscene, derogatory, pornographic, sexually inappropriate, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, not suitable for children aged under 15, or otherwise unsuitable for publication; (b) they will obtain prior consent from any person that appears in their Content and/or from the owner of any property that appears in their Content; (c) they will obtain full prior consent from any person who has jointly created or has any rights in the Content, to the uses and terms herein; (d) their Content shall not contain viruses or cause injury or harm to any person or entity; and (e) they will comply with all applicable laws and regulations, including without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others' computer or communication systems.

Without limiting any other terms herein, the entrant agrees to indemnify the Promoter for any breach of the above terms.

27.
Entrants consent to the Promoter using their name, likeness, image and/or voice in the event they are a winner (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting this promotion (including any outcome), and promoting any products manufactured, distributed and/or supplied by the Promoter.

28.
If this promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoter reserves the right, in its sole discretion, to the fullest extent permitted by law (a) to disqualify any entrant/voter; or (b) to modify, suspend, terminate or cancel the promotion, as appropriate.

29.
Any cost associated with accessing the Facebook Page is the entrant/voter’s responsibility and is dependent on the Internet service provider used.

30.
Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act, as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the State and Territories of Australia (“Non-Excludable Guarantees”). Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the promotion.

Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter’s control); (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by a winner, entrant or voter; or (f) taking and/or use of the prize.

32.
As a condition of accepting the prize, the winner must sign any legal documentation as and in the form required by the Promoter and/or prize suppliers in their absolute discretion, including but not limited to a legal release and indemnity form.

33.
The Promoter collects personal information in order to conduct the promotion and may, for this purpose, disclose such information to third parties, including but not limited to agents, contractors, service providers and prize suppliers. Submitting an entry or vote is conditional on providing this information. The Promoter may, for an indefinite period, unless otherwise advised, use the information for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the entrant/voter. Entrants/voters should direct any request to access, opt-out, update or correct information to the Promoter. All entries become the property of the Promoter.

Entry/voting and continued participation in the promotion is dependent on entrants/voters following and acting in accordance with the Facebook Statement of Rights and Responsibilities, which can be viewed at www.facebook.com/terms.php.

This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook. Entrants/voters understand that they are providing their information to the Promoter and not to Facebook. The information an entrant/voter provides will only be used for the purposes outlined in these Terms and Conditions. Any questions, comments or complaints about this promotion must be directed to the Promoter and not to Facebook. Facebook will not be liable for any loss or damage or personal injury which is suffered or sustained by an entrant/voter, as a result of participating in the promotion (including taking/use of a prize), except for any liability which cannot be excluded by law.
